INFORMATION MEMORANDUM

For the capital raising of $2.5m through the issue of 10,000,000 new Shares at
$0.25 (25 cents) per Share together with one (1) free attaching Option for every
one (1) new Share having an exercise price of $0.25 (25 cents)

$5M WA GRANT

Opal Biosciences awarded Investment Attraction Fund grant by WA government

Strategic Acquisition and Capital Raise: offering 10,000,000 shares at $0.25
each to raise $2.5 million: prerequisite for the share-based acquisition of
Formulytica Pty Ltd, a growing revenue-generating business based in Melbourne,
enhancing Opal’s capabilities and market reach.

Government Support: $5 million grant by the WA government to establish a
pharmaceutical manufacturing facility in Perth, further solidifying its market
position.

Innovative Focus: The new facility will produce sterile liquid pharmaceutical
products suitable for personalized medicine, such as patient-specific cancer
vaccines, and clinical trial supplies. This addresses a growing need in the
Australian pharmaceutical market.

Intellectual Property and Expertise: grow its in-house intellectual property
portfolio. Formulytica brings specialized expertise in pharmaceutical
development, creating a valuable platform for the merged entity.
