FORMULA1 GIVEAWAY
OPEN TO ELIGIBLE RESIDENTS OF THE FIFTY UNITED STATES AND THE DISTRICT OF
COLUMBIA AGE 18 OR OLDER. VOID WHERE PROHIBITED. BY PARTICIPATING IN THIS
PROMOTION, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES. ALL FEDERAL, STATE,
PROVINCIAL AND LOCAL REGULATIONS APPLY.
1. PROMOTION DESCRIPTION: The Arrow Electronics Formula 1 Race Giveaway
("Sweepstakes") begins on August 8, 2023, at 12:00 PM MTN and ends on September
10, 2023, at 5:00 PM MTN (the "Promotion Period"). Arrow Electronics, Inc.
(“Sponsor”) reserves the right to terminate the Sweepstakes at any time before
the Promotion Period ends.
By participating in the Sweepstakes, each Entrant unconditionally accepts and
agrees to comply with and abide by these Official Rules and the decisions of
Sponsor, which shall be final and binding in all respects. Sponsor is
responsible for the collection, submission and processing of Entries and the
overall administration of the Sweepstakes. Entrants should look solely to
Sponsor with any questions, comments or problems related to the Sweepstakes.
Sponsor’s address is 9201 East Dry Creek Road, Centennial, CO 80112.
2. ELIGIBILITY: Open to citizens and legal residents of the fifty (50) states in
the United States, and the District of Columbia, who (i) are members of the
ArrowPerks Loyalty Program, (ii) make a single purchase of one hundred dollars
($100.00) or more on ADI products, and (iii) use the code ADIF1 at checkout
during the Promotion Period (each an "Entrant"). Entrants must be at least 18
years of age at time of Entry. Sponsor, and their respective parents,
subsidiaries, affiliates, distributors, retailers, sales representatives,
advertising and promotion agencies, and any entity which is involved in any
aspect of the creation, production, operation, execution, or fulfillment of the
Sweepstakes (the "Promotion Entities"), and each of their respective officers,
directors, and employees, are ineligible to enter the Sweepstakes or win a
Prize. Household Members and Immediate Family Members of such individuals are
also not eligible to enter or win. "Household Members" shall mean those people
who share the same residence at least three months a year. "Immediate Family
Members" shall mean parents, step-parents, legal guardians, children,
step-children, siblings, step-siblings, or spouses. No groups, clubs, or
organizations may participate in this Sweepstakes. Proof of age, identity and
eligibility must be furnished upon request. All entry information must be
complete and accurate. Sponsor will not award a Prize to anyone not meeting
eligibility requirements at the time of entry.
3. GRAND PRIZE: one (1) Winner will receive two (2) tickets for the Formula 1
United States Grand Prix in Austin, Texas on October 20-22, 2023 (approximate
retail value or "ARV": $2,000) (“Prize”). Prize pack includes: one (1) ticket
for the Winner and one (1) ticket for Guest of Winner for all three (3) days of
the races. (Guest must be at least 18 years of age at the time the Prize is
awarded.)
4. HOW TO ENTER: During the Promotion Period ArrowPerks members will get one (1)
entry for every purchase they make of one hundred dollars ($100.00) or more of
ADI products during the Promotion Period, which can be found on the following
website at https://www.arrow.com, and entering the code ADIF1. ADI products
include ADI automotive parts, EV battery management parts and any other parts
identified as ADI products.
Automated or robotic Entries submitted by individuals or organizations will be
disqualified. Internet Entry must be made by the Entrant. Final eligibility for
the award of any Prize is subject to eligibility verification as set forth
below. All Entries must be posted by the end of the Promotion Period in order to
be eligible. Sponsor's database clock will be the official timekeeper for this
Sweepstakes. All entries become the sole and exclusive property of Sponsor.
Proof of entry submission will not be deemed to be proof of receipt of entry by
Sponsor. All entries submitted in compliance with these Official Rules and not
disqualified are considered “Entries”. The odds of winning the Sweepstakes
depend on the total number of Entries received during the Promotion Period.
5. WINNER SELECTION: The Winner(s) of the Sweepstakes will be selected in a
random drawing from among all eligible Entries received throughout the Promotion
Period. The random drawing will be conducted on September 11, 2023, at 8:00 AM
MNT after the Promotion Period by Sponsor or its designated representatives,
whose decisions are final. The date of the drawing is subject to change at
Sponsor’s discretion. Odds of winning will vary depending on the number of
eligible Entries received.
6. WINNER NOTIFICATION: Winner will be notified by email at the email address
provided in the Entry after the random drawing, anticipated by September 18,
2023, at 5:00 PM MNT. To be eligible to be declared a Winner and to receive the
Prize(s), the potential Winners must sign and return to Sponsor, by email as
directed by Sponsor within 48 hours of receipt of such documents from Sponsor
(which will be sent to potential Winners via email) an Affidavit of Eligibility
and Release that: (a) releases Promotion Entities from any and all liability,
loss, claims, demands, and causes of action for personal injuries or death
and/or damage to personal or real property, theft, loss, or any other harm
suffered directly or indirectly from potential Winner’s participation in
Sweepstakes, including, but not limited to, traveling to, preparing for and/or
participating in any Prize related activity, or the acceptance, possession, or
use or misuse of any Prize; and (b) except where prohibited by law, a right that
grants Promotion Entities the right to use potential Winner’s name, picture
and/or likeness, Images, or biographical information or voice for trade,
advertising and publicity purposes, in any media now known or hereafter devised,
throughout the world, in perpetuity, without additional compensation or
consideration or notification (collectively "the Prize Claim Documents"). Entry
into Sweepstakes constitutes an agreement to sign such Prize Claim Documents.
Sponsor is not responsible for any delay or failure to receive notification for
any reason, including inactive email account(s), technical difficulties
associated therewith, or potential Winner’s failure to adequately monitor any
email account. Any Winner notification not responded to or returned as
undeliverable may result in Prize forfeiture. In addition, Sponsor reserves the
right to select an alternate potential Winner in a random drawing in the event
that any potential Winner fails to comply with these Official Rules or fails to
execute and return the Prize Claim Documents within the time frame specified
above.
When Prize Claim Documents are properly executed, and provided potential Winners
are in compliance with these Official Rules, potential Winners will each be
determined to be a Sweepstakes Winner (each a “Winner”, and collectively
“Winners”). Sponsor expressly reserves the right to delay the announcement of
the Winners for any reason Sponsor deems necessary.
Potential Winners will also be required to have Guests sign Prize Claim
Documents that must be returned within three (3) days of issuance. Winner and
Guest must also complete any additional legal documents provided by Sponsor with
respect to the Prizes and return them as instructed within the time frame
specified or Winner may forfeit Prizes at Sponsor’s sole discretion.
Winners must supply Sponsor with his or her social security number for tax
purposes. The value of the Prizes will be taxable to Winners as income. An IRS
Form 1099 will be issued in the name of each Winner for the actual value of the
Prizes granted if the actual value of the Prizes is over $600. All federal,
state, and local taxes, and any other costs and expenses associated with
acceptance and/or use of Prizes not specifically provided for in these Official
Rules are solely the Winner’s responsibility.
7. PRIZE TERMS: Prize will only be awarded to citizens and legal residents
and/or delivered to addresses within the fifty (50) States in the United States,
and the District of Columbia. All federal, state and/or local taxes, fees, and
surcharges are the sole responsibility of the Prize Winner. No substitution or
transfer of a Prize is permitted except by Sponsor. Only one Prize per person
and per household will be awarded. Prizes are additionally subject to the terms
and conditions of the issuer, including restrictions, conditions, and
limitations. Prizes cannot be transferred, redeemed for cash, or substituted by
Winner. The ARV of the Prize represents Sponsor's good faith determination; that
determination is final and binding and cannot be appealed. The ARV is subject to
change based on current market conditions at time of Prize fulfillment, and the
time of travel and the distance between departure and destination. If the actual
value of the Prize turns out to be less than the stated ARV, the difference will
not be awarded in cash. Sponsor makes no representation or warranty concerning
the appearance, safety, or performance of any Prize awarded. Sponsor will not
replace any lost or stolen Prize items.
The Prize does not include any form of travel or lodging accommodations.
If a Winner chooses not to take a Guest, then any Guest elements will be
forfeited, and the remaining elements shall constitute full satisfaction of the
Prize. Winners and Guests must agree to comply with all venue rules and
regulations and agree not to act in an unsportsmanlike or disruptive manner.
Prizes will be forfeited if the Winner or Guest fails to comply with these
Official Rules or the terms and conditions applicable to any Prize.
By participating in Sweepstakes, Winner acknowledges that Promotion Entities
have not and will not obtain or provide insurance of any kind relating to the
Prizes and that Winners will be responsible for obtaining and paying for any
life, travel, car, accident, property, or other form of insurance relating to
the Prizes. If for any reason any Prize is unavailable or any Prize related
event is delayed, cancelled or postponed, or for any other reason, Sponsor
reserves the right to modify the Sweepstakes and award a substitute Prize, or
portion of Prize. No substitution, transfer, assignment or cash equivalent of
the Prizes, or any portion thereof, is permitted by a Winner. Promotion Entities
shall have no responsibility or obligation to a Winner or potential Winner who
is unable or unavailable to, or who does not for any reason, accept or utilize
the Prizes. All costs and expenses not specifically listed above as part of the
Prizes, including, without limitation, transportation, meals, snacks, beverages,
mini-bar, entertainment, tips, gratuities, souvenirs, personal expenses, damages
to hotel rooms, baggage fees, travel insurance, departure taxes and fees, and
any equipment to be used in connection with the Prizes, are solely Winner’s
responsibility. THE PRIZES ARE PROVIDED “AS IS”. ENTRANTS ACKNOWLEDGE THAT
SWEEPSTAKES ENTITIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR
LIABLE FOR ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESS OR IMPLIED, IN
FACT OR IN LAW, RELATIVE TO THE PRIZES, INCLUDING ANY EXPRESS WARRANTIES
PROVIDED BY A PRIZE SUPPLIER THAT ARE SENT ALONG WITH THE PRIZES. ARRANGEMENTS
FOR THE FULFILLMENT OF THE PRIZES WILL BE MADE BY SPONSOR.
8. PRIVACY: By entering the Sweepstakes, you agree to allow Sponsor to use any
information collected in connection with the Sweepstakes in accordance with its
Privacy Policy, https://www.arrow.com/en/legal/privacypolicy, which is
incorporated into these Official Rules by reference. You can choose not to
receive emails from Sponsor at any time by simply sending an email, including
your name and email address, to never@arrow.com and Sponsor will remove you from
all mailings.
9. GENERAL TERMS: BY PARTICIPATING IN THE SWEEPSTAKES, ALL ENTRANTS AGREE TO
INDEMNIFY AND HOLD HARMLESS PROMOTION ENTITIES FROM ANY AND ALL LIABILITY
ARISING OUT OF OR RELATING IN ANY WAY TO ENTRANT’S PARTICIPATION IN THE
SWEEPSTAKES AND TO RELEASE ALL RIGHTS TO BRING ANY CLAIM, ACTION OR PROCEEDING
AGAINST PROMOTION ENTITIES. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY AND ALL
CLAIMS, DEMANDS, AND CAUSES OF ACTION FOR PERSONAL INJURIES OR DEATH AND/OR
DAMAGE TO PERSONAL OR REAL PROPERTY, THEFT, LOSS, OR ANY OTHER HARM SUFFERED
DIRECTLY OR INDIRECTLY FROM POTENTIAL WINNER’S PARTICIPATION IN SWEEPSTAKES,
INCLUDING, BUT NOT LIMITED TO, TRAVELING TO, PREPARING FOR AND/OR PARTICIPATING
IN ANY PRIZE RELATED ACTIVITY.
Sponsor assumes no responsibility or liability for (a) any incorrect or
inaccurate Entry information, or for any faulty or failed electronic data
transmissions; (b) any unauthorized access to, or theft, destruction or
alteration of Entries at any point in the operation of this Sweepstakes; (c) any
technical malfunction, failure, error, omission, interruption, deletion, defect,
delay in operation or communications line failure, regardless of cause, with
regard to any equipment, systems, networks, lines, satellites, servers, camera,
computers or providers utilized in any aspect of the operation of the
Sweepstakes; (d) inaccessibility or unavailability of any network or wireless
service, the Internet or website or any combination thereof; (e) suspended or
discontinued Internet, wireless or landline phone service; or (f) any injury or
damage to participant's or to any other person’s computer or mobile device which
may be related to or resulting from any attempt to participate in the
Sweepstakes or download of any materials in the Sweepstakes.
If, for any reason, the Sweepstakes is not capable of running as planned for
reasons which may include without limitation, infection by computer virus,
tampering, unauthorized intervention, fraud, technical failures, or any other
causes which may corrupt or affect the administration, security, fairness,
integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right
at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes
in whole or in part. In such event, Sponsor shall immediately suspend all
drawings and Prize awards, and Sponsor reserves the right to award any remaining
Prizes (up to the total ARV as set forth in these Official Rules) in a manner
deemed fair and equitable by Sponsor. Sponsor and Released Parties shall not
have any further liability to any participant in connection with the
Sweepstakes.
THIS SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS
OF THE STATE OF COLORADO WITHOUT REGARD TO ITS CONFLICT OF LAWS RULES. AS A
CONDITION OF ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT: (I) UNDER NO
CIRCUMSTANCE WILL ENTRANT BE PERMITTED TO OBTAIN AWARDS FOR, AND ENTRANT HEREBY
WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR ANY OTHER
DAMAGES, OTHER THAN FOR OUTOF-POCKET EXPENSES; (II) ALL CAUSES OF ACTION ARISING
OUT OF OR CONNECTED WITH THIS SWEEPSTAKES, OR ANY PRIZE AWARDED, SHALL BE
RESOLVED INDIVIDUALLY—WITHOUT RESORT TO ANY FORM OF CLASS ACTION—BY BINDING
ARBITRATION (BY A SINGLE NEUTRAL ARBITRATOR SELECTED BY SPONSOR IN IT SOLE AND
ABSOLUTE DISCRETION) IN ACCORDANCE WITH THE RULES OF THE AMERICAN ARBITRATION
ASSOCIATION; AND (III) ANY AND ALL CLAIMS, JUDGEMENTS AND AWARDS SHALL BE
LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, BUT IN NO EVENT SHALL SUCH
CLAIMS, JUDGEMENTS OR AWARDS INCLUDE ATTORNEYS’ FEES.
