This Privacy Policy explains how American Airlines, Inc. (“we,” “us,” “our,”
“American”) collects, uses, shares, and protects information in connection with
the SimplyMiles® Program and the services, systems, websites and apps used to
provide the SimplyMiles® Program (collectively, the “Program”), including
without limitation, our use of the personal information you provide to us and
the collection and processing of personal information by us or our service
providers in connection with the transactions you enter into with merchants that
offer mileage and travel awards under the SimplyMiles® Program (“Participating
Merchants”). This Privacy Policy applies regardless of the type of device or
other means you use to access the Program.

American reserves the right to change this Privacy Policy at any time by posting
the updated Privacy Policy here along with the date on which the Privacy Policy
was changed.

This Privacy Policy applies solely to the SimplyMiles® Program. For more
information about how American collects, uses, shares and protects information
in connection with other products and services offered by American (including
without limitation, the AAdvantage® program or bookings and travel on American
Airlines), please see the American Airlines Privacy Policy.

In the event of a conflict or inconsistency between this Privacy Policy and the
American Airlines Privacy Policy, this Privacy Policy shall control with regard
to the Program.

Information we collect and how we collect it

We collect and maintain personal information about you from many sources to
understand and meet your needs, manage the Program, and for other purposes
disclosed to you. For example, we collect personal information about you from:

 * You, when you voluntarily provide us with information

 * Your transactions with American, including through your AAdvantage® account

 * Payment card networks and/or issuing banks for one or more of your payment
   cards, subject to you granting consent for any applicable payment card to be
   linked to the Program

 * Other third-party sources, such as Participating Merchants.

If the information is to be collected directly from you, you may in some cases
have the option to decline providing that information. However, your choice to
not provide information may impact your use of certain features or services of
the Program.

The personal information we collect about you through these various sources may
include, but is not limited to:

 * Name, addresses and telephone numbers

 * Date of birth and gender

 * Email addresses

 * AAdvantage® account number

 * Credit card number(s), which will be used by the applicable payment network

 * Information related to your transactions with Participating Merchants using
   the credit card number(s) you provided

 * Technical information such as your browser type, IP address, type of
   operating system you use, your geolocation, the name of your internet service
   provider, mobile advertising identifiers, and pages visited on our site

 * Information provided via survey, focus group or other marketing research
   efforts

 * When you send us an email or online customer service request, we will retain
   the content of the message, your email address or any contact information you
   provide, and our response in order to handle any follow-up questions you may
   have. We also use this information to measure how effectively we address your
   concerns.

 * Any other information that you choose to provide to us or that is required to
   facilitate your transactions and awards.

 * Your information may be combined with information we may already have about
   you.

Any of the information that we collect through your AAdvantage® account,
including your name and email, can only be updated through your AAdvantage®
account settings, and not directly via the Program.

Automatically collected information (including cookies and geolocation)

When you use the Program, we may receive technical information such as your
browser type, the type of operating system you use, your geolocation, the name
of your internet service provider, mobile advertising identifiers, and pages
visited on our site. American gets this information by using technologies,
including cookies, web beacons, and mobile device geolocation to provide and
improve the Program and advertising, including across browsers and devices (also
known as cross-device linking). We also use this information to verify that
visitors meet the criteria required to process their requests and for reporting
activity in connection with the Program. For example, we may want to know how
long the average user spends on our site or which pages or features get the most
attention. This technical information may be combined with information that is
personally identifiable in order to personalize the Program and advertising to
your interests, including across browsers and devices. Some of this information
may be shared with third parties, as described below under “Information
collected by third parties in connection with the Program.”

Additionally, and with your specific consent where required by law, American may
combine the information we receive from you with information collected from
other sources. This information may be used to provide offers and/or services
specifically tailored to your interests in accordance with applicable laws.

Cookies used in connection with the Program

When you use the Program, you may receive cookies or other similar technologies
such as pixel tags from us and the third parties that collect information in
connection with the Program. We use cookies to ensure that we give you a
high-quality experience in connection with the Program. We also use cookies to
show you advertising that is relevant to you.

However, if you prefer, you can change your cookie settings. Some browsers have
options that allow the visitor to control whether the browser will accept
cookies, reject cookies, or notify the visitor each time a cookie is sent. You
may elect to reject cookies by adjusting your settings, but doing so will limit
the range of features available to you on our site and other major websites that
use cookies.

Managing cookies

The Program also may occasionally use “local shared objects” (also known as
“Flash cookies”). Like browser cookies, Flash cookies may be used for
coordinating content delivery, website functionality, maintaining preferences,
advertising, or analytics. Unlike browser cookies, “Flash cookies” are not
stored in the browser. You may be able to manage these Flash cookies by viewing

Managing Flash cookies

There are four types of cookies used in connection with the Program:

 1. Essential cookies – These cookies enable you to use the Program. These
    cookies are essential to enable you to browse our site and use certain
    features. Disabling them may prevent you from using certain parts of the
    site. These cookies also help keep our site safe and secure.

 2. Preference cookies – These cookies store information such as your preferred
    country and language selection, AAdvantage® login data and website
    preferences. Without these cookies, the Program may not be able to remember
    certain choices you’ve previously made (such as a saved country / language
    preference) or personalize your browsing experience by providing you with
    relevant information (such as AAdvantage® award miles balance). These
    cookies can also be used to recognize your device so that you do not have to
    provide the same information more than once.

 3. Performance cookies – These cookies collect information about how you use
    the Program such as which pages you visit regularly. These cookies are used
    to provide you with a high-quality experience by doing things such as
    tracking page load, site response times, and error messages.

 4. Content / advertising cookies – These cookies gather information about your
    use of the Program so we may improve your experience and provide you with
    more relevant content and advertising. They are also used to gather feedback
    on customer satisfaction through surveys. They remember that you’ve visited
    our site and help us understand usage of the Program. Some of these cookies
    are from third parties that collect information about users of the Program
    (as described below under “Information collected by third parties in
    connection with the Program”) in order to provide advertising (on our site
    and elsewhere) based on users’ online activities (so-called “interest-based
    advertising”) on our site and elsewhere online. The third parties involved
    in interest-based advertising collect internet browsing information (e.g.,
    websites visited, time of visit) across different websites and over time,
    and they may use the information they collect on our site to provide you ads

Information collected by third parties in connection with the Program

Some of the content, advertising, and functionality related to the Program may
be provided by third parties, including third parties that are not affiliated
with us. These third parties may collect or receive technical information about
your use of the Program, including through the use of cookies, pixel tags, web
beacons, and other technologies, and this information may be collected over time
and combined with information collected on different websites and online
services.

For example, social network or other third-party plug-ins (such as Facebook’s
“Like” button) may be provided with the Program in order to enable you to login
to the Program, to comment on content available on the Program, and to share
things you find through the Program with your social network. The providers of
these plug-ins may be able to collect information about you even if you do not
click on or otherwise interact with the plug-in or widget and regardless of
whether you have an account or other relationship with these social networks and
third parties. If you use social network tools or visit social networking sites,
you should read their privacy disclosures to learn what information they
collect, use, and share.

Also, some third parties collect information about users of the Program in order
to provide interest-based advertising (on the Program and elsewhere, including
across browsers and devices, also known as cross-device linking). This may
include anonymized or de-identified information about you. These third parties
may use the information they collect through the Program to make predictions
about your interests in order to provide you ads (from us and other companies)
across the internet (for example, products and services that are available at a
merchant you searched for online).

We may use Adobe Analytics to aggregate and analyze data about your use of the
Program.

Opt out of Adobe Analytics

Obtaining your consent

This Privacy Policy is not a contract. Your additional consent will be obtained
where such consent is required by applicable law.

How your information will be used

We use personal information to complete transactions and fulfill requests for
the Program. For example, your information may be used to identify transactions
eligible for awards, to allocate awards to the appropriate account, or to send
you offers for awards. In addition, we may use personal information for
administrative, analytical, and marketing purposes such as employee training,
information systems management, accounting, billing and audits, credit card
processing and verification, customer-relations correspondence, operation of the
Program, to prevent potentially prohibited or illegal activities, or otherwise
as disclosed to you at the time your personal information is collected or
pursuant to your consent. Where we are required by applicable law, we will seek
your consent prior to sending you communications for marketing purposes. More
specifically, we may use your personal information for the following purposes:

 * Business purposes and communication: To information you requested, to
   communicate with you for business or customer service reasons, or for other
   such reasons such as changes to our policies or in response to your inquiry

 * Financials transaction management: To facilitate payment for services or
   provide refunds

 * Legal and regulatory obligations: To comply with legal, regulatory, or fiscal
   obligations, or in connection with litigation or an internal investigation or
   audit

 * Tailored web experience: To personalize your advertising experience when
   visiting our sites, to manage details about your accounts, when security
   updates are available, or when an action is required to keep the account
   active

 * Improve our operations: To improve our service offerings

 * Marketing and analytics: To perform data analyses and other processing for
   marketing purposes

 * Site maintenance: To improve content, functionality, and usability of our
   sites and to offer opportunities to participate in surveys and provide
   feedback to us

 * Security management: To secure American’s premises, assets, and information

 * Third party requests: To respond to and comply with outside requests
   initiated by you, as well as in response to legal requests

 * Audit and controls: To evaluate internal controls and audits for compliance
   (including those conducted by American’s internal and external audit service
   providers)

American may also obtain information about your Program activity (such as
Program awards of AAdvantage® miles) and add this information to your
AAdvantage® account profile and history. Your AAdvantage® account information is
used by American in accordance with the AAdvantage® terms and conditions and the
American Airlines Privacy Policy

Data security

We take reasonable measures to protect the personal information you provide
under the Program. Please note, however, that while we attempt to safeguard your
personal information, no method of transmitting or storing electronic
information is ever completely secure.

With whom your information will be shared

American may share information about you with Participating Merchants, as
necessary or appropriate to fulfill the terms of the Program. For example, if
you are enrolled in a promotion involving a Participating Merchant, we may share
your information with the Participating Merchant as needed for accounting,
billing, customer relations, operation of the Program, or to prevent fraud or
potentially prohibited or illegal activities.

We may also disclose information to companies affiliated with American, our
service providers, and/or unaffiliated third parties (i) to provide the Program
and (ii) for administrative, analytical, and marketing purposes. Where required
by applicable law, we will seek your consent prior to sharing your personal
information with such third parties for marketing purposes. Also, as described
below, you can opt out of having your information shared with such third parties
for those parties’ direct marketing purposes by emailing us at
customerservice@support.simplymiles.com.

In the event we undergo a business transition involving another company, such as
a merger, corporate reorganization, acquisition, the lease or sale of all or a
portion of our assets, or in the event of bankruptcy, information that we have
collected from or about you or your devices may be disclosed to such other
entity as part of the due diligence or business integration process and will be
transferred to such entity as one of the transferred assets.

Further, to the extent required by law, we may disclose personal information to
government authorities, or to third parties pursuant to a subpoena or other
legal process, and we may also use or disclose your information as permitted by
law to protect the rights or property of American, our customers, our services,
or its users.

TERMS OF USE

 * American Airlines, Inc. (“American”) and its service providers have
   collaborated to provide the SimplyMiles® program (the “SimplyMiles®
   Program”). All services provided in connection with the SimplyMiles® Program
   are referred to collectively herein as the “Services.” For clarity, all
   websites, mobile applications, or other interfaces to information or
   functionality relating to the SimplyMiles® Program also constitute Services.
   These terms of use (“Terms”) apply to all aspects of the Services and the
   SimplyMiles® Program, and constitute a legally binding agreement between each
   individual who enrolls in the SimplyMiles® Program or uses the Services
   (“you” or “your”) and American. By participating in the SimplyMiles® Program
   and continuing to use the Services, you acknowledge that you have read and
   understood these Terms and that you agree to be bound by them. The
   SimplyMiles® Privacy Policy does not form a part of these Terms, however,
   American will make commercially reasonable efforts to collect, process and
   use your information in accordance with such policy. For clarity, the
   SimplyMiles® Privacy Policy is a notice and not a contractual undertaking.

 * If you do not agree to all of the Terms, then do not enroll in the
   SimplyMiles® Program or use the Services. Participation in the SimplyMiles®
   Program is at the discretion of American, and American may change the
   SimplyMiles® Program rules, regulations, earnings, benefits, mechanics, and
   any special offers (collectively, “Program Rules”) at any time in its sole
   discretion with or without notice. American may, among other things, (i)
   change AAdvantage® program benefits, participant affiliations, conditions of
   participation, or rules for earning AAdvantage®® miles or (ii) rename or
   redefine AAdvantage® program elements or benefits. Participating Merchants,
   Offers and Qualifying Transactions (each as defined below) are subject to
   change with or without notice. American reserves the right to end the
   SimplyMiles® Program and/or remove any Participating Merchants from the
   SimplyMiles® Program at any time in its sole discretion with or without
   notice. The SimplyMiles® Program, AAdvantage® mile accrual, and any special
   offers are subject to government regulations.

GENERAL SIMPLYMILES® PROGRAM TERMS AND CONDITIONS

 * You are responsible for reading these Terms, the applicable terms and
   conditions for each Participating Merchant, and additional member information
   regarding the AAdvantage® program (which is available online at
   aa.com/AAdvantage®) in order to understand your rights and responsibilities
   under the SimplyMiles® Program. American may amend the Program Rules at any
   time in its sole discretion with or without notice. American has no liability
   for correspondence that is misdirected, lost, stolen, damaged or delayed.

 * Any AAdvantage® miles earned through the SimplyMiles® program are subject to
   the AAdvantage® program terms and conditions. For complete details about the

 * The terms and conditions for our Participating Merchants can be found here.

 * Fraud, misrepresentation, abuse or violation of any applicable rules
   (including, but not limited to, the Program Rules) is subject to
   administrative and/or legal action by appropriate governmental authorities
   and American. Such action may include, without limitation, the forfeiture of
   certain or all AAdvantage® miles earned under the SimplyMiles® Program, as
   well as prohibition of your future participation in the SimplyMiles® Program
   and/or the AAdvantage® program as a whole. In addition, American reserves the
   right to take any appropriate legal action to recover damages and other
   remedies, including its attorneys’ fees incurred in prosecuting any lawsuit
   against you.

 * American reserves the right to audit any and all accounts at any time in its
   sole discretion, with or without notice to you, to ensure compliance with the
   Program Rules. In the event that an audit reveals discrepancies or
   violations, the processing of SimplyMiles® Program rewards, AAdvantage® mile
   accrual and summaries may be delayed until the discrepancies or violations
   are resolved in a manner satisfactory to American.

 * If American and/or any Participating Merchant improperly denies you
   AAdvantage® mile credit or some other benefit, your exclusive remedy shall be
   the issuance of the improperly denied AAdvantage® mile credit, or such other
   alternative comparable benefit as determined by American in its sole
   discretion. American shall have no additional liability whatsoever. In no
   event shall American or any Participating Merchant be liable to any member,
   or anyone claiming through a member, for any direct, indirect, consequential
   or special damages, or any penalties, lost revenue or profits, arising out of
   the acts or omissions of American or any Participating Merchant in connection
   with the SimplyMiles® Program.

 * American is not responsible for and will have no liability arising from
   products or services offered by any Participating Merchant or any action
   taken by any Participating Merchant, except as set forth in these Terms.

 * Accumulation of AAdvantage® miles as a result of Qualifying Transactions with
   Participating Merchants is subject to the continued participation of such
   Participating Merchant in the SimplyMiles® Program, which may cease at any
   time with or without notice.

 * Members may view their SimplyMiles® Program AAdvantage® mile earning summary
   on https://www.simplymiles.com/earned

 * Only individuals are eligible for SimplyMiles® Program membership.
   Non-individuals, including corporations or other entities, are not eligible
   to become SimplyMiles® Program members or to accrue AAdvantage® miles.
   Generally, only the member named on the account will be entitled to access
   account information.

 * All Program Rules are subject to interpretation by American.

JOINING THE SIMPLYMILES® PROGRAM

 * Enrollment in the SimplyMiles® Program is free and is available only to
   individuals over the age of 18 that: (a) are current member of the
   AAdvantage® Program; (b) possess the legal authority to agree to the Terms;
   (c) reside in the United States of America; (d) provide valid and accurate
   personal information when applying for enrollment in the SimplyMiles®
   Program; (e) are not already members of the SimplyMiles® Program; (f) have
   not previously been terminated from the SimplyMiles® Program or the
   AAdvantage® program; and (g) have an eligible payment card account.

 * Any individual who is not already a member of the AAdvantage® Program may
   apply to enroll in the AAdvantage® program and obtain an AAdvantage® number
   at: https://www.aa.com/loyalty/enrollment/enroll.

 * An individual may apply to enroll in the SimplyMiles® Program by fully and
   accurately completing an application on this website or through other
   enrollment channels provided directly by any Participating Merchant.

 * American reserves the right to change participation eligibility requirements
   at any time in its sole discretion with or without notice, and has the right
   to refuse membership to applicants, or terminate membership, in its sole
   discretion and with or without reason.

LIMITS ON REGISTERED CARDS

EARNING AADVANTAGE® MILES WITH THE SIMPLYMILES® PROGRAM

 * To ensure you receive credit for your SimplyMiles® transactions, please
   retain all receipts until the mileage credit appears on your SimplyMiles®
   Program earnings summary.

 * Only registered members of the SimplyMiles® Program will be eligible to earn
   AAdvantage® miles through the SimplyMiles® Program.

 * Each Participating Merchant will designate an activity that a SimplyMiles®
   Program member needs to take with such Participating Merchant in order to
   receive AAdvantage® miles in connection with this program (a “Qualifying
   Transaction”). AAdvantage® miles may be awarded to SimplyMiles® Program
   members for Qualifying Transactions in accordance with any Participating
   Merchant terms and conditions for each such Participating Merchant or other
   applicable rules of such Participating Merchant.

 * AAdvantage® miles will be credited only to the account of the SimplyMiles®
   Program member who makes a Qualifying Transaction with a Participating
   Merchant. In accordance with the terms and conditions of each Participating
   Merchant or other applicable rules of such Participating Merchant, no
   AAdvantage® miles will be awarded for returned products or certain cancelled
   services.

 * You may request AAdvantage® mile credits for past Qualifying Transactions up
   to twelve (12) months from the transaction date. Qualifying Transactions
   occurring prior to your SimplyMiles® Program registration date are not
   eligible for earning miles under the SimplyMiles® Program.

 * You are responsible for ensuring that your mileage earned is properly
   credited. If you believe that mileage has been earned but not properly
   credited, you may be required to submit documentation or other proof
   satisfactory to American, which may include copies of itemized receipts.

INTELLECTUAL PROPERTY NOTIFICATIONS

 * Unless otherwise noted, all information, SimplyMiles® Program account
   information, AAdvantage® account information, articles, data, images,
   passwords, Personal Identification Numbers (“PINs”), screens, text, user
   names, web pages, or other materials (collectively “Content”) appearing on
   the Services are the exclusive property of American, or its subsidiaries and
   licensors:
   
   * All Content is copyrighted 2019 by American Airlines, Inc. All rights
     reserved. Please assume that everything you see or read on the Services is
     copyrighted to, or used with permission by, American unless otherwise
     noted.
   
   * The trademarks, logos, service marks, and trade dress (collectively the
     “Trademarks”) displayed on the Services are registered and unregistered
     Trademarks of American Airlines, Inc. or others.
   
   * Images of people, objects, or places displayed on the Services are either
     the property of, or used with permission by American.
   
   * American owns or uses by permission all software contained on the Services,
     including without limitation all HTML code and Active X controls. Copyright
     and other laws and international treaty provisions protect this software.
     The law expressly prohibits any modification, redistribution, or
     reproduction of the software, and such actions could result in severe civil
     and criminal penalties. American will seek and support prosecuting
     violators to the maximum extent possible.
   
   * You may not copy, display, distribute, create a derivative work from, or
     otherwise use the content of the Services for public or commercial
     purposes. Except as expressly set forth, nothing on the Services shall be
     construed to confer any grant or license of any intellectual property
     rights, including by estoppel or implication.

YOUR REPRESENTATIONS AND WARRANTIES

 * By using the Services, you represent and warrant that you are 18 years of age
   or older and possess the legal right and ability to enter into these Terms
   and to use the Services in accordance therewith. You accept financial
   responsibility for all use of the Services under your name or account,
   including without limitation all uses of your account by others, including
   minors living with you. You agree not to assign, transfer, or sublicense your
   rights pursuant to these Terms, and any attempt to do so is void.

YOUR INDEMNITY OBLIGATIONS

 * You agree to indemnify, defend, and hold harmless American and its affiliates
   from and against any and all claims, demands, proceedings, suits and actions,
   including any related liabilities, obligations, losses, damages,
   deficiencies, penalties, taxes, levies, fines, judgments, settlements,
   expenses (including legal and accountants' fees and disbursements) and costs
   (collectively, “Claims”), based on, arising out of or resulting from your use
   of the Services, including without limitation any Claims alleging facts that
   if true would constitute your breach of these Terms.

LIMITATIONS ON YOUR USE

 * Your account information is owned by and proprietary to American. While you
   may access your account information through the Services, you may not give
   access to your account to any person or entity other than a member of your
   household or a person that you directly supervise as part of your career or
   employment. You may not give access to your account to any third party
   on-line service, including, but not limited to any mileage management
   service, mileage tracking service, or mileage aggregation service; or
   otherwise act as any of the foregoing on behalf of any other AAdvantage®
   member. You must access your account information directly through the
   Services and not through a third party website, including but not limited to
   any mileage management service, mileage tracking service, or mileage
   aggregation service.

 * You agree that you will not misuse the Services. “Misuse” includes, but is
   not limited to, using the Services to do any of the following:
   
   * • Distribute, disseminate, post, or publish any information or material
     that degrades, embarrasses, harasses, humiliates, intimidates, or threatens
     any individual or group of individuals on the basis of their age, ancestry,
     color, ethnicity, marital status, medical condition, mental or physical
     disability, national origin, race, sex, sexual orientation, union or
     nonunion affiliation, or any other basis protected by federal, state, or
     local law or ordinance.
   
   * • Abuse, defame, harass, stalk, threaten, or otherwise violate others’
     legal rights, including but not limited to rights of privacy and publicity.
   
   * • Download or upload files that may damage the operation of another's
     computer, such as computer viruses, corrupt files, or similar software.
   
   * • Download or upload files that contain materials, including but not
     limited to software that violate the intellectual property, privacy, or

     Advertising or offering to sell any goods or services; conducting contests
     or surveys; distributing chain letters, or advertising with respect to any
     Ponzi scheme or pyramid scheme; advertising or offering to sell any
     business opportunities, direct sales opportunities, employment, independent
     contractor positions, multi-level marketing opportunities, or securities.
   
   * • Post, send, or otherwise disclose confidential information, trade
     secrets, or other confidential and/or protected proprietary data of any
     entity or person, including but not limited to American or any of its
     affiliates.
   
   * • Download or upload files that you know, or reasonably should know, cannot
     be legally distributed through the Services.
   
   * • Upload, download, or otherwise export or re-export software from the
     Services: (1) to a national or resident of or into any country subject to
     an embargo by the U.S.; (2) to anyone on the U.S. Treasury Department’s
     Specially Designated Nationals list, or (3) to anyone on the U.S. Commerce
     Department's Table of Denial Orders.
   
   * • Copy or create derivative works from, display, distribute, license,
     perform, publish, recreate, reproduce, sell, transfer, or transmit any

     and post it on any other website, with or without that AAdvantage® member’s

   * • Utilize a SimplyMiles® Program member’s or an AAdvantage® member’s
     password or personal identification number during log-in, unless you are:
     the member to whom that password or personal identification number is
     assigned (the “Authorized Member”); a family member of the Authorized
     Member, acting with the Authorized Member’s permission; or an employee of
     the Authorized Member’s employer, acting with the Authorized Member’s
     permission.
   
   * • Engage in any other conduct that is, or that American deems to be, in
     conflict with these Terms.

 * American forbids such Misuses, and access of the Services for any such
   Misuses or other similar purposes is an unauthorized use of the Services.

   may alter, change or improve the Content at any time in its sole discretion
   with or without notice. American makes no representations or warranties as to
   the Content's completeness or accuracy, and makes no commitment to update the
   Content. American makes no representations about the Content's suitability

   CONNECTED WITH, THE USE OF OR INABILITY TO USE THE SERVICES OR FOR ANY OF THE
   CONTENT OBTAINED THROUGH OR OTHERWISE IN CONNECTION WITH THE SERVICES, IN
   EACH CASE REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, STRICT

   Services will not infringe upon the intellectual property rights of third
   parties. American shall not be liable for any virus or other damage to your

   using the Services or due to your downloading any audio, data, images,

   provides services and products in many parts of the world, the Services may
   refer to certain goods, products, and/or services that are not available in

 * For use of certain services, American may provide you with a pass code. This
   pass code is proprietary to and the property of American. However, you must
   take precautions to insure the security of your pass code. American assumes
   no responsibility for and will not be liable in the event that another person
   learns your pass code or uses your pass code to cause damage to you. While
   American takes reasonable steps to safeguard and to prevent unauthorized
   access to your private information, American cannot be responsible for the
   acts of those who gain unauthorized access, and American makes no warranty,
   express, implied, or otherwise, that American will prevent unauthorized
   access to your private information.

 * IN NO EVENT SHALL AMERICAN OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES
   (WHETHER CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR

   communication or message facilities (“Forums”) contained on the Services only

   you have to any information or material that you post on a Forum. American
   has the right to do whatever it wishes with that information or material,
   including but not limited to deleting or editing for any reason any posting
   by you. You further acknowledge that American does not endorse or sponsor any
   information or material posted by Forum users, and that American has no
   responsibility to approve, review, or screen such information or material.

FORUM FOR ACTIONS, GOVERNING LAW, AND PROCEDURAL RESTRICTIONS

 * You agree that these Terms are made and entered into in Tarrant County,
   Texas. You agree that Texas law governs the interpretation of these Terms
   and/or any dispute arising from your access to, dealings with, or use of the
   Services or the SimplyMiles® Program, without regard to conflicts of law
   principles. Notwithstanding the foregoing, any claim brought by you related
   to your access to, dealings with, or use of the Services or the SimplyMiles®
   Program shall be settled by binding arbitration in the City and State of New
   York, pursuant to the commercial arbitration rules of the American
   Arbitration Association then in effect. Any award shall be final, binding and
   conclusive upon the parties and a judgment rendered thereon may be entered in
   any court having jurisdiction thereof. You agree and understand that you will
   not bring against American, or any of their affiliated entities, agents,
   directors, employees, and/or officers any class action lawsuit related to
   your access to, dealings with, or use of the Services or the SimplyMiles®
   Program. To the fullest extent allowed by law, American disclaims any duty of
   good faith or fair dealing, as well as any implied contractual terms or
   obligations.

OTHER TERMS

 * These Terms constitute the entire agreement governing your access to,
   dealings with, and use of the Services, and together with the AAdvantage®
   program terms and conditions, constitute the entire agreement governing your
   access to, dealings with, and use of the SimplyMiles® Program. Of course,
   separate agreements may attach to any goods, products, or services you
   obtain, purchase, or use from the Services. In the case of a conflict between
   these Terms and any agreement specific to any goods, products, or services
   that you obtain, purchase, or use from the Services, the terms of the
   specific agreement shall govern.

 * Any failure of American to assert any rights it may have under these Terms
   does not constitute a waiver of our right to assert the same or any other
   right at any other time or against any other person or entity. If any
   provision of these Terms are found to be invalid or unenforceable, then the
   invalid or unenforceable provision will be stricken from these Terms without
   affecting the validity or enforceability of any other provision.
