She was responsible for the strategic direction of Deloitte’s efforts and activities across North and South Carolina. As a Partner at Deloitte from 1991 to 2019, Theresa previously served in a variety of leadership roles including Managing Partner of the San Diego Practice and Audit Partner-in-Charge in Phoenix. In addition to her leadership roles, she served as a Lead Client Service Partner, Advisory Partner, and Audit Partner. Theresa served clients for four decades in a variety of industries including manufacturing, retail, and hospitality. She assisted numerous clients with IPO services, start-up and growth company activities, SEC matters, and regulatory issues. She is licensed as a Certified Public Accountant and qualifies as an audit committee financial expert under the SEC’s rules. Governance Experience Theresa has over 25 years of governance experience having served on numerous boards of not-for-profit organizations and corporate entities. Since 2018, she has served on the Board of Directors of Sonoco Products Company (NYSE: SON) and is the Chair of the Audit Committee, as well as a member of the Financial Policy Committee. She joined the Board of Directors of The Cato Corporation (NYSE: CATO) in 2019 and is a member of the Audit Committee and the Corporate Governance Committee. Theresa is also the immediate Past Chairman of the Board of Directors of the YMCA of Greater Charlotte, a member of the Board of Directors of the Carolinas Chapter of NACD, and a member of International Women’s Forum and Women Executives of Charlotte. Professional Recognition During Theresa’s 40-year career, she received numerous regional and national recognitions. Most recently, Women INC. designated Theresa as one of their 2019 Most Influential Corporate Board Directors. She was also recognized by Queens University as the 2017 Charlotte BusinessWoman of the Year and by the Charlotte Business Journal as a Most Admired CEO. Theresa was honored by the North Carolina Association of CPAs with the 2016 Woman to Watch Experienced Leader Award, crediting her as a pioneer in the advancement of women leaders and in 2015, she was recognized by The Charlotte Business Journal as a Women in Business Award recipient. In 2014, Leadership Charlotte presented Theresa with the Newcomer of the Year Award and business fraternity Delta Sigma Pi recognized her with their Career Achievement Award. Carol Y. Kendrick Chair-elect of the Board of Directors for Opera Carolina and Assistant General Counsel at Brighthouse Financial Brighthouse Financial Carol Y. Kendrick is Assistant General Counsel of Brighthouse Financial, where she specializes in life insurance product development and administration, electronic commerce, directors’ and officers’ liability coverage, and some litigation. Her previous experience includes working as an Assistant District Attorney in the Office of the Bronx District Attorney, litigation and employment counsel for New York Life Insurance Company, bankruptcy litigation for a New York law firm, and in-house counsel for AnnTaylor. Theresa LaPlaca Board member at EagleBank; past member of the advisory board of Friends of The Arts at Queens University, and formerly with Wells Fargo EagleBank Theresa LaPlaca is an accomplished board member, former lead director and finance executive with 30+ years of experience in the financial services industry, including a Fortune 50 banking institution. Theresa’s career reflects notable accomplishments helping companies and boards of directors manage risks and create value across the enterprise. Theresa is also a financial expert qualified to serve on the audit committee. Theresa serves as the Risk Committee Chair and Audit Committee member on the Board of Directors at Eagle Bancorp, Inc. & EagleBank based in Bethesda, MD. Theresa has taken a leadership role in improving regulatory relationships, overseeing internal investigations as well as navigating the enterprise risk management alignment with the heightened supervisory standards associated with the Bank’s growth towards a $10B asset depository institution. Theresa served as Executive Vice president and Chief Financial Officer for Wells Fargo’s Wealth and Investment Management (WIM) division which included Wells Fargo Advisors, Wealth Management, Asset Management and Institutional Retirement. In this role, she oversaw all finance activities, client information and analytics, and operations across WIM. Before retiring from Wells Fargo, Theresa was asked to lead and build a conduct risk management office for Wells Fargo to address the sales practice issues. Theresa was responsible for leading a team of 500 to manage and mitigate conduct risks that would arise from employee and business misconduct. The functions involved in rebuilding the organizations ethics and compliance program included: the company’s Ethics Line, sales practices, ethics (e.g., conflicts of interest, gifts & entertainment, Foreign Corrupt Practices Act and code of ethics related compliance), and internal investigations program as well as oversight in reviewing the front-line customer complaints to identify any potential risk issues. She also oversaw the consolidated enterprise conduct risk analytics for management and Board reporting. During her four years with Wachovia before the merger with Wells Fargo, she served as the Chief Financial Officer for the Capital Management Group which included retail brokerage, asset management, institutional retirement and insurance services. Prior to that, she was the chief financial officer for Citigroup’s CitiStreet Retirement Services division, where she spent 14 years. Theresa is a certified executive coach, founder, and president of TLP Leadership Advisory Services (TLPLAS). TLPLAS assists companies and boards assess talent, coach and define the best talent for organizations. Theresa is a past member of the advisory board of Friends of The Arts at Queens University of Charlotte and past finance committee member for the Nevins Foundation. She was named to the “Most Powerful Women in Banking” list by American Banker magazine as part of “Top Team” two years in a row.
