GENERAL TERMS OF SALE





Prices and payment

Unless otherwise stated, all prices will be quoted in EUR(Euro) without VAT

If payment is not received at the due date, iEDI will reserve the right to place
an interest on overdue payment of 2% every end of the month, every month until
payment takes place. A fee of dkk. 100,- will be placed for each reminder.

If payment for the subscription-services stay absent, iEDI will be entitled to
cancel the subscription. iEDI reserve the right to adjust the subscription
price. This can happen by written notice, 30 days (minimum) before the changes
take place. At a price increase at 10% or more, The customer has the right to
cancel the subscription, as long as this happens by writing as soon as the
customer becomes aware of this price increase.



Copyright

The customer reserves the right to all data on its iEDI account. IEDI.com
reserves the right to the product, and all of its components, including name,
logo, program coding, databases, catalogues, design, graphic material, texts,
etc.

The customer is not allowed, to use any of the elements that iEDI.com has the
copyright for, without written permit from iEDI.com. The customer's access to
iEDI as well as all data in iEDI, is a conditional depending on timely payment
for the agreed service.

The customer must at all times respect the applicable software - license terms
for iEDI. The customer is responsible for violation of the terms, such as
unauthorised transmission to a third party. iEDI is without responsibility to
potential demands, that might occur on the basis of the customer's violation of
the license terms.



Duration of the agreement

These conditions are valid, as long as the customer has an account or
subscription, that gives access to iEDI or uses other iEDI products.



Delivery

The right of use becomes effective when the customer has applied for iEDI and
accepted the general trade terms. The right of use is at all times contingent on
the customers ability to fulfill its obligations. There will not be issued
refunds nor the right of revocation. The customer can at all times cancel the
subscription with reference to valid terms of notice.



Product information

There is made reservations for errors and changes in print and digital sale- and
marketing material. Eventual errors and changes can not be made valid for
iEDI.com



Limitation of liability

The customers access to iEDI demands login with email and password. The password
is received by email when creating an account, and it can be altered by you/the
customer in iEDI. It is at all times your/the customers responsibility, that
unauthorized persons do not get access to the password. All transactions made
with a valid login is customers own responsibility.



Damage responsibility and damage limitation

Both iEDI and the customer are responsible for damages according to general
regulations in danish court. However iEDI.com is not responsible for indirect
damages, such as lost data. iEDIs total liability for damage is limited to an
amount paid by the customer to iEDI.com for the latest 12 months before the
occurrence of the damage.

iEDI is not responsible for any mistakes that might occur as a result of changes
made by the customer itself, changes made by anyone else but iEDI.com, software
related errors, lost data, missing backup, incorrect installation and use, water
damage, fire, unstable power supply, missing network access, or errors occurring
as a result of incorrect use of other equipment.



Personal data

iEDI.com processes all data with reference to the law of data protection from
Datatilsynet. The customer can contact iEDI.com for further information about
what data is being processed, or if the customer requests data deleted.
Information about the customer may only be used to provide the customers order.
iEDI will under no circumstances pass on the customers information to a third
party, unless this is approved by the customer.





Product development

iEDI is under constant development, and because of this iEDI.com will at all
times reserve the right to make changes, updates etc. with reference to the
overall strategy.



Right of complaint

The customer is obliged to test the provided product/service immediately after
delivery. Within the first eight days, the customer can cost-free get any
absences in solutions made, directly to the customer. If any missings are
reported after the eight-day right of complaint. The corrections will at all
times be paid by hourly wage rate. iEDI.com does not claim responsibility for
any errors or absences in the standard application.



Cancellation

The customer can cancel, change and downgrade his subscription on: iEDI under
"My Account". cancellation must happen at least one day before a new month's
subscription period begins. There will not be issued refunds in case of a
cancellation. iEDI can cancel the customer's subscriptions with 3 months notice,
or instantaneously because of major violation of the following terms; absent
payment of the subscription, or by the customer's insolvency.



Confidentiality

iEDI is obliged to never use information about its customers, which for example
is gained access to, through the customer's systems or through files that are
exchanged via. iEDI, unless it is necessary to help serve the customer.



Force Majeure

iEDI.com is not responsible for missing fulfillment of its obligations, such as
delay that iEDI under no circumstances will be responsible for, including
industrial action, sickness that causes key-employees to be absent, war,
internal disturbances, natural disasters, public prohibition, import/export
prohibition. interruption of the normal communication, interruption or failure
in the power supply, as well as occurrence of Force Majeure at subcontractors.



Dispute

Any dispute between iEDI.com and the customer must be decided according to
danish court with - Helsingør byret - as venue. CISG (The United Nations
Convention on Contracts for the International Sale of Goods)is not valid.



Transfer

iEDI reserves the right to transfer rights and obligations completely or
partially to a third party, as well as use subcontractors for delivery. The
customer is not allowed to transfer rights and obligations to a third party
without written permit from iEDI.

A simple idea emerges

Back in 2012 iEDI.com was just a great idea - a vision that something could be
done much better in the EDI line of business. It was a vision about vastly
