Merrillville-based NiSource has completed sale of a 19.9% stake in its NIPSCO
utility for $2.16 billion as it looks to invest more in wind and solar.

The company, one of the largest publicly traded utility companies in the
country, sold a minority stake in the electric and gas utility to Blackstone
Infrastructure Partners. Blackstone pledged an additional $250 million in equity
to fund capital needs. The company said it would use the proceeds to invest in a
transition from coal-fired electricity to renewable energy as it aims to go from
75% coal generation in 2018 to completely coal-free generation by 2028. 



It's in the process of phasing out coal-fired electricity generation at its
plants in Michigan City and Wheatfield.



"We are pleased to announce the completion of this transaction and are excited
about the long-term partnership we have entered into with Blackstone,” said
NiSource president and CEO Lloyd Yates. “The transaction strengthens our balance
sheet, supports our financing plan and provides greater flexibility to execute
on high-quality capital investments that will enhance the safety, reliability
and sustainability of our gas and electric systems for the benefit of our
customers. It’s important to reinforce that our commitment to Indiana remains
unchanged, and we will continue to drive sustainable growth for our
stakeholders. This financing transaction will have no impact on NIPSCO's current
strategic direction or on our commitment to our gas and electric customers in
Indiana.”

NiSource, which also owns the Columbia Gas utility, will retain the remaining
80.1% of NIPSCO, one of the largest electric and gas utilities in Indiana. The
company said the deal will strengthen its finances and support sustainable
long-term growth. Blackstone said its investment will "accelerate the
reindustrialization of the Midwest and fund the energy transition" to the solar
and wind technologies NIPSCO is investing in.

partnership with NiSource and NIPSCO,” said Sebastien Sherman, senior managing
director of Blackstone Infrastructure. “This investment underscores Blackstone’s
commitment to decarbonization to create value for our investors and our desire
to help facilitate the reindustrialization of the Midwest. We are excited to
invest behind NIPSCO, one of the fastest-growing utilities in the country with
one of the nation’s fastest decarbonization plans. Blackstone looks forward to
supporting the vital role that NIPSCO plays in communities across northern
Indiana.”




NIPSCO President Michael Hooper said in a letter to employees the sale of the
non-controlling minority stake would have no impact on operations, customers or
day-to-day decision-making.



NiSource, which is publicly traded on the Dow Jones Sustainability-North America
Index, serves about 3.3 million natural gas customers and 500,000 electric
customers in six states. It was the only Fortune 500 company headquartered in
Northwest Indiana until it sold off the Columbia Pipeline Group business in
2015.

NIPSCO, a NiSource subsidiary, serves more than 821,000 natural gas customers
and 468,000 electric customers across the northern third of Indiana. It's the
largest vertically integrated electric and gas distribution company in the
Hoosier State.
