In respect of any Embedded Functionality, Pershing will provide you with sufficient instructions or specifications such that you will be able to use it for the purposes we describe and establish such access controls as are set out in our description. You acknowledge and agree, for the avoidance of doubt, that to the extent such functionality enables you to transmit any instruction to Pershing’s Systems or to input any data or information into Pershing’s systems, then the provisions of the relevant clearing and settlement agreement between you and Pershing in respect of such instructions, such data or information shall apply. 4. INTELLECTUAL PROPERTY RIGHTS We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. USE OF EMBEDDED FUNCTIONALITY AND THIRD PARTY SOFTWARE You agree that in consideration of Pershing making available to you and hereby permitting you to use certain functionality in the form of a the Embedded Functionality, the following additional terms and conditions shall apply in addition to those provisions set out in the relevant clearing and settlement agreement between you and Pershing concerning use of and responsibility for Pershing’s Systems and for the provision and use of Data:- 5.1 You agree that in respect of any Embedded Functionality, you shall use such Embedded Functionality only in the context to providing services to investors in respect of whom you have opened and maintain an account in Pershing’s Systems and shall not transmit any Data derived from such Embedded Functionality to any person except to such investor or as required by applicable law or regulation or at the direction of a public authority of competent jurisdiction; 5.2 In all cases, you must determine, at your entire responsibility, whether any Embedded Functionality is sufficient to meet any legal or regulatory obligation or requirement applicable on you in connection with the provision of any service by you to any relevant investor client. You agree for yourself and for your investor client, that in this regard, Pershing shall make no representation and give no undertaking. For the avoidance of doubt you are solely responsible for any information or advice you provide to any investor client of yours in connection with any information derived from any Embedded Functionality; 5.3 Pershing’s only warranties in connection with the provision of any Embedded Functionality are:- (a) to use the skill and care appropriate to a professional firm in selecting and operating in a good and workman-like way both any Embedded Functionality and the software from which that Embedded Functionality is derived but Pershing shall not, in any event, be liable for any defect, including any latent defect, in such software; and (b) that it shall maintain in force sufficient licences or permissions to permit it to provide such Embedded Functionality to you; 5.4 You satisfy yourself as to the adequacy in respect of any Embedded Functionality and all Data, of any licenses or permissions required by it in connection with the use of Data or such Embedded Functionality, or relevant software. Pershing’s sole obligations in this regard shall be to provide to the Client the descriptions of the functionality which Pershing has received from the supplier of the relevant software in each case and, in connection with third party Data, the identity of the relevant provider and the description of such Data; 5.5 You agree to reproduce faithfully and without any alteration any disclaimer provided for the purpose by Pershing in any excerpt from, copy of or report derived from the Embedded Functionality which you make available to any investor client of yours. You must note yourself and draw to the attention of any investor client of yours any such disclaimer or other statement made by Pershing in connection with the accuracy of any price or valuation provided by means of our site. 5.6 You agree that in the event that any of Pershing's Systems or any Embedded Functionality contains open source software that, in respect of the performance of such open source software only, you use such Systems or Embedded Functionality at your entire risk and, in particular, will have no recourse or remedy against the provider of such open source software. 5.7 The copyright and intellectual property in respect of the use of RadControls for ASP.NET Ajax within Embedded Functionality resides with Telerik 6. RELIANCE ON INFORMATION POSTED Commentary and other materials posted on our site are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents. Pershing agrees that to the extent it is able to recover in respect of any inaccuracy in information, failure or defect in any Embedded Functionality (or any software from which it is derived) damages or other payments from the supplier of such Embedded Functionality then, to the extent such damages or liabilities can be properly attributed to you or to any investor client of yours, then Pershing shall, to such extent pay such amounts, not exceeding such damages or other payments to you or to such investor client, as the case may be. This provision does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or any other liability which cannot be excluded or limited under applicable law. 9. INFORMATION ABOUT YOU AND YOUR VISITS TO OUR SITE By using our site, you consent to such processing and you warrant that all data provided by you is accurate. 10. VIRUSES, HACKING AND OTHER OFFENCES You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful.
