ESTIMATED BILLING

An 8% Administrative Fee will be added to your invoice. The administrative fee
and all other fees applied to your event are not gratuities and are not
distributed to the service staff as gratuities but are retained by Slate and
applied towards the overhead, operating and administrative expenses associated
with your event. All charges, including administrative fees, are subject to
an 8.875% sales tax pursuant to New York State regulations.

This optional gratuity is based on your selection below in the Terms and
Conditions portion of the agreement.  The gratuity is paid in full to the
service team. At your discretion, you may modify the gratuity at any time until
we process your payment at the conclusion of your event.

TERMS AND CONDITIONS

Privacy Policy

We will not sell, license, transmit or disclose your personal information
outside of Gather Technologies unless:

1. you expressly authorize us to do so;

2. the disclosure is necessary to allow our service providers or agents to
provide services for us;

3. the disclosure is necessary in order to contact you or for us to provide our
products or services to you;

4. subject to applicable contractual or legal restrictions, the information is
disclosed to entities that perform marketing services on our behalf or to other
entities with whom we have joint marketing agreements;

5. subject to applicable contractual or legal restrictions, the disclosure is in
connection with a sale of all or substantially all of our assets or the merger
of Gather Technologies into another entity, or any consolidation, share
exchange, combination, reorganization, or like transaction in which Gather
Technologies is not the survivor;

6. disclosure is necessary in connection with other business purposes including,
without limitation, customer care, service quality, business management and
operation, risk assessment, security, fraud and crime prevention/detection,
monitoring, research and analysis, marketing, customer purchasing preferences
and trends, dispute resolution, credit checking and debt collection; or

7. otherwise as we are required or permitted by law.

Security

We have taken reasonable steps and have in place appropriate security measures
to protect your personal information. You acknowledge, however, that no
transmission of data over the Internet can be guaranteed to be 100% secure,
despite our efforts. Thus, while we will use commercially reasonable means
possible to ensure the security of information you transmit to us, we cannot
guarantee that such information will not be intercepted by third parties.

Braintree is a validated Level 1 PCI DSS Compliant Service Provider. We're on
Visa's Global Compliant Provider List and Mastercard's SDP List. We don't store
raw magnetic stripe, card validation code (CAV2, CID, CVC2, CVV2), or PIN block
data. Storage of this data is prohibited by the PCI DSS. Cardholder data is
managed in the Braintree Vault using established data security and encryption
methods. For example, we use multiple encryption keys with split knowledge and
dual control. A data thief would not be able to make use of information stolen
from a database without also having the key. The data store where cardholder
data is kept cannot be connected to via the internet.

Thank you for choosing Slate for your private event. We have digitized our event
processes to make the whole planning process easier for you. Not only are you
able to refer to your Event File at any time to view the details of your event,
but you are able to digitally sign off on, make PCI Compliant payments and
select your menu – all of this automatically updates on our end, creating a more
seamless interaction for both of us.

To confirm this agreement, please sign off on this by clicking on the 'Accept
Proposal' button in this window below to the left. This digital signature is
legally binding and once this is done a payment screen will open so you will be
able to enter your credit card information to put down your deposit. Please let
us know if you would like to use this card for your final payment and if you
would like the bill presented to you or the host upon the completion of your
event.

PART 1:

In order to provide the best experience possible Slatehas outlined the following
principles.

EVENT TIMES

The event space will be available from the “start time” to the “end time”
indicated in this agreement. Should you wish to extend the length of your event
additional costs may apply. When possible, special consideration will always be
made.

ATTENDEES

Venue must be notified of additional guests no later than 72 hours prior to
event, at which point additional costs will be charged.

EQUIPMENT

Use of outside equipment is subject to approval by Slate events. Rental
companies must comply with all applicable regulations,

including insurance requirements. Slate events will determine the day and hour
at which rental equipment may be delivered and picked up. All rental companies
making deliveries to the premises must provide a certificate of insurance prior
to the date of delivery providing coverage of at least $1,000,000.00 and naming
""Slate NY"" as additional insured.

EXCUSED NON-PERFORMANCE:

Slate will not be liable for its failure or delay to hold the event on the
scheduled date if the failure or delay is due to circumstances beyond the
reasonable control of Slate in the event of an act of God, labor problems
including but not limited to strikes, fire, flood, weather, restrictions upon
travel, food, beverages, or supplies, any epidemic, pandemic, or similar
situation, including, without limitation, COVID-19 (or any other iteration of
the coronavirus pandemic) or any similar causes beyond its control (“Force
Majeure Reason”).Slate will have no responsibility or liability for failure to
comply with any terms and conditions of the contract when prevented from doing
so by ordinance or law, fire, unavailability of labor or fuel, accident, earth
movement or water damage.  This includes all Covid-19 restrictions i.e. citywide
shutdown, mask mandate and/or travel bans.

 In the event the event is cancelled or postponed due to any Force Majeure
Reason, any amounts paid to Slate under this agreement shall be used as a credit
for a future event, which shall take place on a mutually agreed upon and
available date(s), and must take place within one (1) year following the
cessation of the claimed Force Majeure Reason.  Further, should any Force
Majeure Reason make it impracticable or, in Slate’s good faith judgment,
unreasonable for Slate to perform its obligations under this agreement as they
relate to the event, Slate may cancel this agreement without liability upon 10
days’ written notice (or, the number of days reasonably practical to foresee the
that it is impracticable or unreasonable to proceed with the event) to the
Client.  In the event that the Client decides to hold the event despite such
circumstances, and Slate agrees, Slate shall not be liable for losses to you or
third parties (including physical injury or death) related to the Force Majeure
Reason as a result of holding the event. Furthermore, for clarity, should the
Client wish to hold the event despite the circumstances but Slate does not agree
to do so, Slate shall not be liable for, and the Client shall waive, any losses
to the Client and any third parties, that may result therefrom.

In the event Slate cancels the event other than for a Force Majeure Reason,
Slate will refund any deposits made by the Client.  In the event the Client does
not reschedule the event that was cancelled or postponed for a Force Majeure
Reason within one (1) year following the cessation of the claimed Force Majeure
Reason, the Client shall forfeit any amounts paid to Slate under this Agreement.


COMPLIANCE WITH APPLICABLE LAWS

The Client shall comply with the laws and ordinances and other rules,
regulations and requirements of all governmental authorities and departments
thereof having jurisdiction over the premises. Including, all indoor dining
guidelines outlined on this document, New York State and City law, and any
instructions from Slate staff. This includes all Covid-19 Dining Guidelines
required by the city or our venue. 

LIABILITY

The Client will be responsible for all injury or damage of any kind to persons
or property, regardless of who may be the owner of the property (including,
without limitation, Slate’s furniture, furnishings, or works of art) arising out
of or suffered through any act or omission of the Client, its employees, agents,
contractors or guest, in connection with its use of the clubs facilities. The
Client further assumes the obligation to indemnify and hold harmless Slate its
affiliates, officers, agents, and employees, against any and all damages,
claims, expenses (including reasonable legal fees), or other liability due to
bodily injury, personal injury or death, or damage to property of others,
arising out of or suffered through any act or omission of the Client, its
employees, agents, contractors or guests, in connection with its use of the
Slate facilities. Slate will be responsible for all injury or damage of any kind
to persons or property, regardless of who may be the owner of the property
arising out of or suffered through any act or omission of Slate, its employees,
agents or contractors, in connection with Client's use of the facilities. Slate
further assume the obligation to indemnify and hold harmless the Client, its
affiliates, officers, agents, and employees, against any and all damages,
claims, expenses (including reasonable legal fees), or other liability due to
bodily injury, personal injury or death, or damage to property of others,
arising out of or suffered through any act or omission of Slate, its employees,
agents, contractors or guests, in connection with Client's use of the Slate
facilities.

Neither Slate nor Client shall be liable for any failure to perform under this
contract due to strikes, labor disputes, government disorders, federal or state
rules or regulations, accidents, fire casualty, inclement weather, acts of God,
or any causes beyond its reasonable control. In such event, Slate shall refund
Client any sum deposited less expenses incurred and disbursements expanded by
Slate on behalf of the Client.

INSURANCE

Slate and The Client each agree to carry adequate personal, property, liability
and other insurance protecting itself against any claims arising from any
activities conducted in the Slate during the event. Upon request, The Client
shall provide a certificate evidencing such insurance to Slate.

COSTS AND BILLING

A 50% non-refundable deposit is due upon booking with the final balance due 7
business days prior to the event. Overages, if any, will be charged upon closing
the event. There will be an additional prorated charge for each additional hour
or fraction thereof. There is a fee of 15% of the pre-tax event cost for Event
rescheduling.  If rescheduled for something other than a Force Majeure Reason,
the prices quoted herein for the Event shall be subject to increase should the
event be postponed for more than six (6) months or into the following calendar
year.  Patron must reschedule the event at least 48 hours prior to event start
time by contacting the Slate event sales group. If the patron does not call and/
or email at least 48 hours in advance the event will continue as scheduled.

ADMINISTRATIVE CHARGE:

FOOD ALLERGIES:

 Slate offers products with dairy, eggs, soy, wheat, gluten, nuts, and seafood.
While we take steps to minimize the risk of cross contamination, we cannot
guarantee that any of our products are safe to consume for people with dairy,
egg, soy, wheat, gluten, nut, and seafood allergies.  For the safety of any
guests who may have food allergies, you must provide a complete and accurate
list of guest names together with food allergies and their exact allergy
requirements no later than 14 business days prior to the event date. This list
will need to be resubmitted if there are any changes relating to guests with
food allergies post the due date.  Slate will make best efforts to accommodate
any such guests. 


VENUE

Any controversy or claim arising out of or relating to this agreement, or the
breach thereof, shall be settled by arbitration administered by JAMS and shall
be conducted in accordance with the JAMS Comprehensive Arbitration Rules that
are then in effect.  Any arbitration shall take place in New York and judgment
on the award rendered by the arbitrator(s) may be entered in any court having
jurisdiction thereof.  You shall pay all fees associated with the arbitration,
including, but not limited to, the arbitration administration fees and costs as
well as any charges for the arbitrator or arbitrators.


ENTIRE AGREEMENT

This contract constitutes the entire agreement of the parties relating to the
subject matter herein, and all prior negotiations and understandings are merged
herein. No modifications, amendments, or additional agreements or understandings
shall be binding on the parties hereto unless set forth in writing and signed or
be adhered to the contract by the acceptance of the deposit.


GOVERNING LAW

This agreement shall be governed by the laws of the State of New York.


ATTORNEY'S FEES

If any dispute arises out of this agreement, then the prevailing party in such
dispute shall be awarded reasonable attorneys’ fees and costs, including such
fees and costs for all appeals post-judgment from the non-prevailing party.


EXECUTION OF AGREEMENT:

This agreement may be executed in two or more counterparts, each of which shall
be deemed an original and all of which together shall constitute one instrument.
The parties hereto agree that an electronic signature and facsimile or scanned
copy of a party’s handwritten signature may be used in place of an original
signature and shall be deemed legally binding and have the same force and effect
as an original handwritten signature.
