mymaurices Loyalty Program Terms and Conditions

The mymaurices Loyalty Program ("Program") is a membership loyalty program owned
and operated by Maurices Incorporated ("Maurices," "we," or "us"). These
Maurices Loyalty Program Terms and Conditions ("Program Terms") govern your use
of the Program. Our Terms of Use and Privacy Policy also apply to your use of
the Program. The Program Terms are in addition to and not in lieu of the Terms
of Use and the Privacy Policy.

Our Terms of Use include an Arbitration Agreement, which will govern any dispute
between you and us. Unless you opt out as described in the Terms of Use, this
Arbitration Agreement will:

 * Eliminate your right to a trial by jury; and
 * Substantially affect your rights, including preventing you from bringing,
   joining or participating in class or consolidated proceedings.

Canadian Residents Only: Laws of certain provinces of Canada limit or prohibit
required arbitration and waivers of class actions; accordingly, the Arbitration
Agreement as applied to the Program is limited or restricted, if at all, for
applicable Canadian residents to the extent of applicable Canadian laws.

Maurices Credit Card Holders Only: These Program Terms are separate and
independent from your Maurices Credit Card Account Agreement ("Account
Agreement"), which governs the use of your Maurices credit card ("Card"). In the
event of any conflict between these Program Terms and your Account Agreement,
these mymaurices Loyalty Program Terms and Conditions will control in any matter
relating to the Program. For purposes of these Program Terms, "Bank" means
Comenity Bank or its assignees.

Acceptance

Your registration for the Program and/or continued membership in the Program
indicates your acceptance of and agreement to all of these Program Terms. Be
sure to check these Program Terms located at www.maurices.com/mymaurices
periodically for updates, as your continued membership in the Program signifies
your acceptance of these Program Terms as they exist from time to time,
including, without limitation, any changed provisions. The Program is void where
prohibited by law.

These Program Terms May Change

You agree Maurices may change, add, or eliminate the Program Terms, including,
without limitation, rewards, offers and benefits; or change or terminate the
Program or any feature of the Program; in whole or in part, at any time, and
without notice or compensation, even though such actions may affect rewards or
offers in the Program or your participation in the Program. In the event of our
termination of the Program, we will give you notice of termination in a manner
determined by us. Upon any termination of the Program by us, the Program will
terminate, and any Points and Promotional Offers (as such terms are described
below), and any other rewards or offers associated with the Program, will also
terminate with immediate effect as of the termination date; provided, however,
in the event of a termination of the Program by us, Reward Certificates (as
defined and described below) will not be terminated due to such event and will
continue in effect subject to these Program Terms and the respective additional
terms and conditions of such Reward Certificates.

You agree that Maurices may provide notices, disclosures, and amendments to
these Program Terms, and other information relating to the Program by electronic
means, including posting these materials online at www.maurices.com/mymaurices.

Overview

The Program is a customer-reward program that is available to eligible Maurices
customers (see below for full eligibility details). You can register for the
Program and create a Program membership account ("mymaurices Account"): (i) at
one of Maurices retail stores (ask a store representative to help you begin the
process), (ii) by calling the customer service team at 1 (866) 977-1542, or
(iii) by other methods as Maurices may offer from time to time. You will be
automatically enrolled in the mymaurices Loyalty Program when you open your
maurices credit card (if not already then a member) in connection with the
issuance of a credit card by Bank to such customer (including as part of the
transition of existing Credit Card accounts to Bank, as well as the issuance of
new Cards to new applicants). Anyone, however enrolled, may terminate their
mymaurices Account as described in "Termination of Your mymaurices Account"
below.

Eligible customers who are registered for a mymaurices Account ("Members") will
be able to earn Points with each Earning Activity (as defined below in ‘Earning
Points through Earning Activities for Program Rewards’ section). As described
below, when you have earned the requisite amount of Points, those Points will be
converted into a rewards certificate ("Reward Certificate") that you can use to
make Authorized Purchases (as defined below in ‘Earning Points through Earning
Activities for Program Rewards’ section) of Maurices products. Additionally, the
Program offers Members (or certain Members) various promotional rewards (for
example, a birthday reward), as such rewards are offered by Maurices from time
to time.

If registering in-store at a Maurices’ location, a new Member will receive a
mymaurices welcome message and associated identification code ("mymaurices ID").
If registered in any other manner, a new Member will only receive a mymaurices
ID.

Eligibility & Registration

The Program is open only to legal residents of any one (1) of the fifty (50)
United States or the District of Columbia, or any Province in Canada (except for
residents of the Province of Quebec) who are the age of majority in their
jurisdiction of residence. You may be registered in the Program as described
above. You must provide us with all required information to register for a
mymaurices Account. When you enroll in the Program and create a mymaurices
Account, you are agreeing to receive marketing messages from Maurices. You may
opt out of marketing email communications (by following the instructions in
those emails) and still remain a Member in good standing. Note that after opting
out of marketing emails, you will continue to receive messages from us about
your mymaurices Account (e.g., your Points balance, usage, and news about
changes to these Program Terms), and Reward Certificates. You may call us at 1
(866) 977-1542 to request to be unsubscribed from all Program email
communications. Because email is the primary source of communication for the
Program, if you do not provide us with (and update and maintain at all times) a
valid email address to be associated with your mymaurices Account or if you
elect to opt out of all Program email communications, your participation in and
the value of the Program to you will be limited (see also "Updating Your
mymaurices Account" and "Member Communication" below). There is a limit of one
(1) mymaurices Account per individual/email address/phone number. You agree that
you will not participate in the Program under more than one (1) mymaurices
Account. Corporations, groups, and associations are not eligible.

You agree to accept responsibility for all activities that occur under your
mymaurices Account or any associated password and you agree you will not sell,
transfer or assign your mymaurices Account or any membership rights. For online
users, you are responsible for maintaining the confidentiality of the passwords
for your mymaurices account (including your passwords for the www.maurices.com
("Site"), and for restricting access to your computer (or other device, as
applicable), so that others may not access your mymaurices Account.

Earning Points through Earning Activities for Program Rewards; Conversion of
Points to Reward Certificates; Promotional Offers and Rewards

The Program involves two important measurements for Program Points rewards:
Points and Reward Certificates. "Points" are earned when Members engage in
either of the following "Earning Activities": (a) making qualifying purchases,
with a fully completed payment, from Maurices retail stores in the United States
or Canada, or the Site (each an "Earning Purchase"); or (b) participating in
other specific Member Points earning opportunities offered by Maurices from
time-to-time ("Additional Earning Activities"). Subject to these Program Terms,
and as of the date of these Program Terms, you will receive one (1) Point for
each one dollar ($1.00) (see details below regarding United States and Canadian
Dollars) of an Earning Purchase for which Points are eligible to be earned (see
details two paragraphs below). The details of an Additional Earning Activity,
including a description of the conduct required and the number of Points
available, will be as communicated to the eligible Member(s) by email or in
another communication from Maurices, and are subject to the instructions, terms,
conditions, limitations and restrictions of such Additional Earning Activity.

For purchases at Maurices retail stores in the United States, on the Site, and
for Additional Earning Activities in the United States, Points will be earned
based on United States dollars (with no conversion to Canadian Dollars). For
purchases at Maurices retail stores in Canada and for Additional Earning
Activities in Canada, Points will be earned based on Canadian dollars (with no
conversion to United States Dollars).

In order to earn Points for an Earning Purchase: (i) in store you must present
to a Maurices representative your email address or phone number associated to
your mymaurices account before each Earning Activity, and (ii) online, you must
be logged into your mymaurices Account in connection with the Earning Purchase
transaction. Points will be rounded to the nearest whole dollar amount of each
Earning Purchase.

Points are not earned on previous purchases; existing special orders; purchases
of gift cards (unless Points availability is otherwise offered by Maurices from
time to time); charity items; Maurices credit card payments, interest, fees or
other credit card account activity; layaway items; shipping and handling; or
federal, state, provincial/territorial, local or other taxes, fees or
assessments. Points are also not earned on (and may be deducted from your
account for): unauthorized or fraudulent charges; incomplete or reversed
payments; chargebacks; or purchases made by or for a business/group or for a
business purpose. We have the right to deduct Points from your mymaurices
Account for any of the foregoing non-Points earning matters without notice to
you.

Earning Activities only count towards the earning of Points once you have a
valid mymaurices Account. Earning Activities that occurred prior to
establishment of a mymaurices Account for you do not qualify for this Program
and will not earn you Points. You only earn Points on your total purchases after
deduction of any applicable promotional credits, discounts and offers on those
purchases. Use of a Reward Certificate, gift card or gift certificate in
connection with a purchase transaction does not earn Points to the extent of use
of such item for such purchase.

Points will appear in your mymaurices Account within approximately seven (7)
business days of your completion of an Earning Activity. You may view your
membership activity via monthly mymaurices Account status email communication or
by calling our customer service team at 1 (866) 977-1542. Maurices shall have no
liability for any delays in posting of Points or Earning Activity.

Once a Member has accumulated the required number of Points to earn a Reward
Certificate to be used at a Maurices retail store or the Site, those Points will
be removed by us from the Member’s mymaurices Account and converted to a Reward
Certificate. Subject to these Program Terms, and as of the date of these Program
Terms, you will receive one (1) five dollar ($5.00) Reward Certificate for each
one hundred (100) Points accumulated by you in your mymaurices Account.
Conversion of Points and issuance of Rewards Certificates will be on such
schedule as determined by Maurices. Each Reward Certificate will have a unique
code that you may use to redeem your Reward Certificate at a Maurices retail
store in the United States or Canada or on the Site as described in these
Program Terms ("Reward Certificate Coupon Code"). Redemption of a Rewards
Certificate will be in either United States Dollars or Canadian Dollars
depending on the location of redemption; see "Reward Certificates;
Returns/Exchanges" below. A Reward Certificate may be issued to the email
address associated with your mymaurices Account, or by other means in Maurices’
sole discretion. You may also retrieve a Reward Certificate by logging into your
mymaurices Account at www.maurices.com/mymaurices or by visiting a Maurices
retail store and asking a store representative.

See Program details located at www.maurices.com/mymaurices for current
information regarding how Points are calculated, how many Points must be accrued
to earn a Reward Certificate, the value of a Reward Certificate, and other
Program information and details, including current Promotional Offers
(collectively, "Program Details"). We may change or add the Program Details at
any time, including the manner in which Points are calculated, how many Points
must be accrued to earn a Reward Certificate, the value of a Reward Certificate
and Points, Reward Certificate and Point limits, and Promotional Offers. Except
as provided in these Program Terms (including, without limitation, due to
termination of your mymaurices Account by you or us), once issued by us, Reward
Certificates cannot be terminated or changed by us, even if we terminate or
change the Program.

Maurices may describe or post certain promotional offers ("Promotional Offers")
to www.maurices.com/mymaurices, such as birthday offers, bonus Points events and
other special opportunities. Promotional Offers will be subject to the terms and
conditions of each Promotional Offer, including, without limitation, qualifying
purchases, additional charges and taxes, applicable expiration dates, which
terms and conditions may be included at www.maurices.com/mymaurices, or in an
email to an applicable Member or Members, or by such other method as determined
by Maurices (including by posting to a Member’s mymaurices Account).

Point Expiration; Reward Certificate Expiration; mymaurices Account Expiration;
Returns; Negative Points; Errors

IF YOU DO NOT HAVE ACTIVITY IN YOUR MYMAURICES ACCOUNT FROM EARNING ACTIVITIES
IN THE PROGRAM, AUTHORIZED RETURNS (AS DEFINED BELOW) OR REDEMPTION OF REWARDS
CERTIFICATES DURING ANY TWELVE (12) MONTH PERIOD, ALL OF THE POINTS ASSOCIATED
WITH YOUR MYMAURICES ACCOUNT WILL AUTOMATICALLY EXPIRE AND BE FORFEITED. FOR THE
PURPOSES OF CLARIFICATION AND WITHOUT LIMITING THE FOREGOING, ACTIVITY IS
MEASURED ON THE DATE ON WHICH YOU COMPLETE AN EARNING ACTIVITY, AUTHORIZED
RETURN OR REWARD CERTIFICATE REDEMPTION, AND NOT FROM THE DATE ON WHICH THE
ACTIVITY APPEARS IN YOUR MYMAURICES ACCOUNT. AN "AUTHORIZED RETURN" MEANS A
RETURN OF A PURCHASE (FOR WHICH YOU EARNED POINTS) IN ACCORDANCE WITH MAURICES’
THEN CURRENT RETURN POLICY. EACH REWARD CERTIFICATE WILL EXPIRE NINETY (90) DAYS
AFTER REWARD CERTIFICATE ISSUANCE, AS STATED ON THE REWARD CERTIFICATE. IF YOU
DO NOT HAVE ACTIVITY IN YOUR MYMAURICES ACCOUNT FROM EARNING ACTIVITIES IN THE
PROGRAM, AUTHORIZED RETURNS OR REDEMPTION OF REWARDS CERTIFICATES DURING ANY
TWENTY-FOUR (24) MONTH PERIOD, YOUR MYMAURICES ACCOUNT WILL BE TERMINATED, AND
ANY POINTS, REWARD CERTIFICATES, PROMOTIONAL OFFERS, AND ANY OTHER REWARDS OR
OFFERS ASSOCIATED WITH YOUR MYMAURICES ACCOUNT WILL AUTOMATICALLY EXPIRE AND BE
FORFEITED AS OF THE TERMINATION DATE.

If you return a purchase for which you earned Points in accordance with
Maurices’ then current return policy, the Points associated with your mymaurices
Account will be reduced by the number of Points equivalent to the amount of the
refund you receive. If, at any time, your Points balance becomes negative as a
result of a returned purchase(s) or any other Points adjustment by us, we
reserve the right to immediately cancel any or all outstanding Reward
Certificates, Promotional Offers, and other rewards and offers associated with
your mymaurices Account. Subsequent qualifying purchases will work your Points
back to a positive balance. At our sole discretion, we reserve the right to
terminate mymaurices Accounts with ongoing negative Points balances.

Our records will be considered conclusive if there is a dispute about the number
of Points or the number or value of any Reward Certificate earned, redeemed or
deducted, or any matter concerning any Promotional Offer. Call us at 1 (866)
977-1542 within 30 days from relevant transaction date if you have any questions
about your Points, Reward Certificate or Promotional Offer. If we do not hear
from you by then, it means you agree with us about those Points, Reward
Certificate or Promotional Offer.

We accept no liability for any errors in the number of Points, any Reward
Certificate or any Promotional Offer awarded, posted or communicated to you.
Should any Points, Reward Certificates or Promotional Offer be awarded, posted
or communicated in error, we reserve the right to deduct the number of Points,
Reward Certificates or Promotional Offer awarded, posted or communicated to you
in error immediately, and without notice to you. We are not obligated to honor a
request to redeem Points, Reward Certificates or Promotional Offer awarded,
posted or communicated to a mymaurices Account in error.

Reward Certificates; Returns/Exchanges

Reward Certificates may be applied to purchases of Maurices merchandise at a
Maurices retail store in the United States or Canada, or at the Site, as long as
the Member is in good standing in the Program, and the Reward Certificate has
not expired; except that the Reward Certificates cannot be applied to previous
purchases; existing special orders; the purchase of gift cards (unless otherwise
offered by Maurices from time to time); charity items; Maurices Card payments,
interest, fees or other credit card account activity; layaway items; shipping
and handling; or federal, state, provincial/territorial, local or other taxes,
fees or assessments (each an "Authorized Purchase"). Reward Certificates will be
redeemed in United States Dollars for Authorized Purchases at Maurices retail
stores in the United States and at the Site. Reward Certificates will be
redeemed in Canadian Dollars for Authorized Purchases at Maurices retail stores
in Canada.

The Reward Certificate will be in addition to other promotional credits,
discounts or offers offered at the time of purchase ("Other Rewards"), unless
otherwise stated in the Other Rewards, the Reward Certificate will be applied
after all Other Rewards are applied to the Authorized Purchase.

> In-Store: To use a Reward Certificate when making an Authorized Purchase in
> one of our physical retail stores in the United States or Canada, at the time
> of purchase you must present a printed/paper or electronic version of your
> unexpired Reward Certificate or request a Maurices representative to lookup
> your rewards based on the email address or phone number associated to the
> mymaurices Account . Maurices reserves the right to require the person using a
> Reward Certificate to show proof that they are the person associated with the
> Reward Certificate. After using the Reward Certificate, the Maurices
> representative will not return the printed/paper copy to you, the remaining
> balance of the Reward Certificate (if any) is forfeited, and the Reward
> Certificate will be cancelled and removed from your mymaurices Account.

> Online: To use the Reward Certificate when making an Authorized Purchase on
> the Site you can enter the Reward Certificate Coupon Code in the "Promo code"
> box at checkout. After using the Reward Certificate, the remaining balance of
> the Reward Certificate (if any) is forfeited, and the Reward Certificate will
> be cancelled and removed from your mymaurices Account.

Each Reward Certificate may be used only once. A Member may only redeem up to a
total of six (6) Rewards Certificates on an Authorized Purchase. Any use of a
Reward Certificate in connection with activities other than those specified by
Maurices constitutes fraud and may be prosecuted. Maurices reserves the right to
pursue any legal remedies that may be available to it. You are solely
responsible for all federal, state, provincial/territorial, local and other
taxes, fees or assessments, and any other costs or expenses of accepting and
using Reward Certificates or Other Rewards.

If a Reward Certificate was used on an Authorized Purchase and (a) you return
merchandise in an Authorized Return, you will forfeit all Points associated with
the returned merchandise, or (b) you exchange merchandise in an Authorized
Purchase, the value of the Reward Certificate used in the original Authorized
Purchase may be reused in the exchange transaction.

Points, Reward Certificates and mymaurices Accounts Are Non-Transferable and Not
Redeemable For Cash

Neither Points, Reward Certificates or Promotional Offers have any monetary or
cash value and they may not be redeemed for cash or, except under the Program,
any cash equivalent. mymaurices Accounts, Reward Certificates and Promotional
Offers are non-transferable. Reward Certificates can only be redeemed by the
mymaurices Account holder for Authorized Purchases made in-person or online by
that mymaurices Account holder. Promotional Offers may only be redeemed by the
mymaurices Account holder in accordance with the Promotional Offer. Sharing your
mymaurices Account, Points, or your Reward Certificates or Promotional Offers
with others is a breach of these Program Terms. mymaurices Accounts, Points,
Reward Certificates and Promotional Offers are not your personal property, are
not descendible, and may not be inherited, bartered, purchased or sold.

Loss of Points and Reward Certificates; Termination of Your mymaurices Account

In addition to termination of the Program by Maurices as described below or
termination of your mymaurices Account described elsewhere in these Program
Terms, Maurices may also revoke your ability to participate in the Program for:
(a) your abuse of the Program, including, without limitation, your use of any
"bot", macro, or other automated means to participate in the Program or to earn
Points or Reward Certificates; (b) your failure to follow these Program Terms
and any other terms and conditions applicable to the Program; (c) the attempted
or actual sale or transfer of any of your Points, Reward Certificates,
Promotional Offers or your mymaurices Account; (d) any misrepresentation by you;
or (e) any other conduct deemed by Maurices, in its sole discretion, to be an
abuse of the Program, to be detrimental to the interests of Maurices or its
customers, to be fraudulent, illegal, or to be otherwise improper. If your
ability to participate in the Program is revoked, any unused Points, Reward
Certificates and Promotional Offers will automatically expire and your future
participation in the Program may be prohibited, in the sole and absolute
discretion of Maurices. In addition, Maurices will have the right to take
appropriate administrative or legal action, including seeking criminal
prosecution, as it deems necessary in its sole discretion.

Maurices is not responsible for Points, Reward Certificates and Promotional
Offers that expire, are lost or are redeemed due to fraudulent activity.
Suspected illegal, fraudulent or other unauthorized use or misuse of Points,
Reward Certificates, Promotional Offers, or any other activity inconsistent with
these Program Terms may, in the sole and absolute discretion of Maurices, result
in termination of your participation in the Program, which will result in the
loss of all accumulated Points earned, and Reward Certificates and Promotional
Offers issued but not yet redeemed.

Agreement to Decisions

You agree to abide by the final and binding decisions of Maurices regarding the
Program, its operation, and your participation in it, and interpretation of
these Program Terms. Maurices is the sole arbiter of all issues relating to the
Program, including a decision to remove Points, Reward Certificates and
Promotional Offers. All of Maurices' decisions relating to the Program and
Program Terms are final.

Termination of Your mymaurices Account

You may elect to terminate your mymaurices Account at any time by calling
Maurices at 1 (866) 977-1542. Upon termination of your mymaurices Account, any
Points, Reward Certificates, Promotional Offers, and any other rewards or offers
associated with your mymaurices Account will automatically expire and be
forfeited as of the termination date. If you later elect to re-enroll in the
Program, you will not have access to any Points, Reward Certificates,
Promotional Offers, rewards or offers associated with your previous mymaurices
Account and your beginning balance of Points, Reward Certificates and
Promotional Offers will be zero.

Maurices may terminate the Program at any time, without compensation, even
though such actions may affect rewards or offers in the Program or your
participation in the Program. In the event of our termination of the Program, we
will give you notice of termination in a manner determined by us. Upon any
termination of the Program by us, the Program will terminate, and any Points,
Promotional Offers and Reward Certificates, and any other rewards or offers
associated with the Program, will also terminate with immediate effect as of the
termination date; provided, however, in the event of a termination of the
Program by us, Reward Certificates will not be terminated due to such event and
will continue in effect subject to these Program Terms and the respective
additional terms and conditions of such Reward Certificates.

Updating Your mymaurices Account

You may access and update your mymaurices Account information, including your
email address at a Maurices retail store, by emailing our Customer CARE team at
customerservice@maurices.com, or by calling us at 1 (866) 977-1542. It is your
responsibility to keep your member information current, complete and accurate.
You are solely responsible for any and all activities that occur under your
mymaurices Account.

Member Communication

You may view your membership activity via monthly mymaurices Account status
email communicationsor by calling our customer service team at 1 (866) 977-1542.
A current, valid email address is required for a member to fully participate in
the Program, and receive certain notices, rewards and information regarding the
Program, including without limitation, information about certain Additional
Earnings Activities and Promotional Offers.

NO WARRANTIES; EXCLUSION OF LIABILITY; INDEMNIFICATION

WE MAKE NO WARRANTIES, REPRESENTATIONS, OR GUARANTEES, WITH REGARD TO THE
PROGRAM, THE OPERATION AND MAINTENANCE OF THE PROGRAM, WHETHER EXPRESS OR
IMPLIED, ARISING BY LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR
NON-INFRINGEMENT OR ANY IMPLIED WARRANTY ARISING FROM COURSE OF PERFORMANCE,
COURSE OF DEALING, OR USAGE OF TRADE. WITHOUT LIMITING THE GENERALITY OF THE
FOREGOING, WE MAKE NO REPRESENTATION THAT THE OPERATION OF THE PROGRAM WILL BE
UNINTERRUPTED OR ERROR-FREE.

WE WILL NOT HAVE ANY LIABILITY (WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING,
BUT NOT LIMITED TO, NEGLIGENCE), PRODUCT LIABILITY OR OTHER THEORY) FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF YOU
OR WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY LOSS OF
REVENUE, DATA OR PROFITS ARISING UNDER OR WITH RESPECT TO THESE PROGRAM TERMS OR
THE PROGRAM. FURTHER, OUR AGGREGATE LIABILITY ARISING UNDER OR WITH RESPECT TO
THESE PROGRAM TERMS OR THE PROGRAM WILL IN NO EVENT EXCEED THE TOTAL OF ONE
HUNDRED U.S. DOLLARS ($100).

You, at your own cost and expense, will indemnify, defend and hold harmless,
Maurices, our parent, subsidiary and affiliated companies, and each of their
respective directors, officers, employees, agents, successors and assigns
against any claim, suit, action, judgment, liability, loss, cost, expenses and
other damages (even if such claims are groundless, fraudulent or false),
including reasonable legal fees, based upon or in connection with (i) any breach
or alleged breach of your representations, warranties, covenants, agreements, or
obligations hereunder, (ii) any actual or alleged wrongful or negligent act or
omission by you, and/or (iii) arising from or related to your participation in
the Program.

Modification of These Program Terms & Termination of the Program

Maurices may change, add, or eliminate the Program Terms, including, without
limitation, rewards, offers and benefits; or change or end the Program or any
feature of the Program; in whole or in part, at any time, and without notice or
compensation, even though such actions may affect rewards and offers in the
Program or Members’ participation in the Program. Maurices may, at its
discretion, provide notices, disclosures, and amendments to these Program Terms,
and other information relating to the Program by electronic means, including
posting these materials online at www.maurices.com/mymaurices, or by email to
the address then associated with your mymaurices Account, and/or using any other
contact information we may have for you. The updated Program Terms will be
effective as of the time of posting, or upon such later date or by such other
method as specified by Maurices. The updated Program Terms will apply to your
participation in the Program beginning as of their effective date. Your
continued participation in the Program following any change will constitute your
express consent to any amendments to these Program Terms, or any other aspect of
the Program. Should you not agree to such an amendment, you may cancel your
participation in the Program as set out in the "Termination of Your mymaurices
Account" Section.

Governing Law

These Program Terms and any disputes arising under or related to them will be
governed by United States federal law and the laws of the State of Minnesota,
without reference to a state’s conflict of law principles.

Privacy

Information collected about you in connection with your mymaurices Account and
the Program is subject to the Maurices privacy policy located at
www.maurices.com/customer-service/privacy-policy.

General Information

Participation in the Program is unauthorized in any jurisdiction that does not
give full effect to all provisions of these Program Terms, including without
limitation this paragraph and the warranty disclaimers and liability exclusions
above. Maurices has endeavored to comply with all legal requirements known to it
in creating and maintaining this Program but makes no representation that the
Program is appropriate or available for use in any particular jurisdiction.
Participation in the Program is also unauthorized in any jurisdiction where all
or any portion of this Program may violate any legal requirements and you agree
not to Participate in the Program in any such jurisdiction. You are responsible
for compliance with all applicable laws. Any use in contravention of this
provision or any provision of these Program Terms is at your own risk and, if
any part of these Program Terms is invalid or unenforceable under applicable
law, the invalid or unenforceable provision will be deemed superseded by a
valid, enforceable provision that most closely matches the intent of the
original provision, and the remainder of these Program Terms will govern such
participation. Our performance under these Program Terms will be excused to the
extent that such performance is hindered, delayed or made commercially
impractical by causes beyond our reasonable control.

Maurices' performance of these Program Terms is subject to applicable existing
and future laws and legal process, and nothing contained in these Program Terms
is in derogation of Maurices' right to comply with law enforcement requests or
requirements relating to your participation in the Program or information
provided to or gathered by Maurices with respect to such participation.

These Program Terms constitute the entire agreement between you and Maurices
with respect to the Program. These Program Terms supersede all prior or
contemporaneous communications and proposals, whether electronic, oral or
written, between you and Maurices with respect to this Program. No modification
of these Program Terms will be effective unless it is authored by Maurices or
its affiliates, or unless it is physically signed by a Maurices officer.
Maurices failure to enforce any term of these Program Terms shall not constitute
a waiver of that provision or any other provision of these Program Terms, and
any alleged waiver of any breach of these Program Terms will not be deemed to be
a waiver of any future breach. A printed version of these Program Terms and/or
of any notice given by Maurices in electronic form will be admissible in
judicial or administrative proceedings based upon or relating to these Program
Terms or your participation in the Program to the same extent and subject to the
same conditions as other business documents and records originally generated and
maintained by Maurices in printed form.

Employees

Employees of Maurices may participate in the Program. Participation is subject
to these Program Terms, as well as any other terms, conditions, limitations and
restrictions established by Maurices from time to time regarding employee
participation in the Program, which are available by contacting Maurices’ Human
Resources department or consulting Maurices’ online employee resources policies
and materials.

Maurices’ Remedies

Maurices’ reserves the right to seek all remedies available at law and in equity
for violations of any of these Program Terms, including suspending or blocking
your access to your mymaurices Account or terminating your participation in any
or all of the Program.

Important Information for Maurices Credit Card Holders

The Maurices Credit Card must be presented as the method of payment at the time
of sale to receive the Credit Card level of Points for any Net Eligible
Purchases as defined. mymaurices Credit Card members receive 1 point per $1
spent. Your Maurices Card account must be in good standing in order to earn
points for making purchases with the credit card. Generally, good standing means
your Maurices Card account is open and is not in default as defined in your
Account Agreement.

Points you earn are for the Program only and may not be combined with points
earned on any other credit account with Bank or its affiliates.

Points earned have no cash value and may not be used as payment of any
outstanding obligation to the Bank or its affiliates.

Termination of your mymaurices Account will not close your Maurices Credit Card.
