12 Interactive, LLC, d/b/a PerkSpot ("PerkSpot") provides this and other
websites ("Sites"), the PerkSpot Rewards & Recognition Program ("Rewards
Program"), the PerkSpot Loyalty Points Program ("Loyalty Program") and our
mobile applications ("Apps," collectively referred to with the Sites, the
Rewards Program, and the Loyalty Program as the "Service") subject to the
following terms and conditions. By your use of the Service, you are entering
into an agreement by and between you and PerkSpot. The following terms and
conditions, together with any documents and other terms and conditions they
expressly incorporate by reference, (collectively, these "Terms of Use"), govern
your access to and use of the Service, including any content, functionality, and
services offered on or through PerkSpot Rewards and Recognition Program (the
"Rewards Platform", which Rewards Platform includes the "Admin Dashboard"),
whether as a guest or a registered user.

Please read these Terms of Use carefully. By indicating your consent to these
Terms of Use, or by otherwise using (or continuing to use) the Service, you
accept and agree to be bound and abide by these Terms of Use. If you do not want
to agree to these Terms of Use, you must not access or use the Service.

The Service is offered and available to users who are authorized by their
sponsoring organization ("Your Organization"), who are 14 years of age or older.
Certain portions of the Service, such as the Rewards Program or particular
merchant offers, may be restricted to users residing in the United States and
its territories and possessions. By using the Service, you represent and warrant
that you are of legal age to form a binding contract with PerkSpot and meet all
of the foregoing eligibility requirements. If you do not meet all of these
requirements, you must not access or use the Service.

Changes to your Account Information

You must advise PerkSpot of any change in your name or the email address
associated with your account. Email address changes can be made via the PerkSpot
portal for Your Organization or by contacting Customer Service. PerkSpot is not
liable for any correspondence, including Award certificates, sent to an outdated
email address.

Information About You and Your Use of the Service

All information collected through the Service is subject to the terms of
PerkSpot’s Privacy Policy, found at docs.perkspot.com/privacy, which are hereby
fully incorporated into these Terms of Use by reference ("Privacy Policy"). By
using the Service, you consent to all actions taken by PerkSpot with respect to
your information in compliance with the Privacy Policy and the Additional Terms
(defined below) where applicable.

Electronic Transactions and Other Terms and Conditions

All payments and purchases, award or redemption of Points (defined below) or
other rewards through the Service or other transactions for the transfer,
receipt, and/or provision of goods or services formed through the Service, or
resulting from visits made by you to the Rewards Platform, are governed by
PerkSpot’s Payment Terms and Conditions, found at
https://ps.perkspot.com/payment-terms ("Payment Terms and Conditions") which are
hereby fully incorporated into these Terms of Use by reference.

Additional terms and conditions may also apply to specific portions, services,
or features of the Service, including but not limited to your participation in
Your Organization’s Rewards Program. All such additional terms and conditions
are hereby incorporated by this reference into these Terms of Use.

Changes to the Terms of Use

PerkSpot may revise and update these Terms of Use, including revisions and
updates to any of the terms and conditions incorporated by reference herein, at
any time, in its sole discretion, with or without notice. All changes are
effective immediately when posted and apply to all access to and use of the
Service thereafter.

Your continued use of the Service following the posting of revised Terms of Use
means that you accept and agree to the changes. You are expected to check the
Terms of Use from time to time so you are aware of any changes, as they are
binding on you.

Accessing the Service and User Account Security

PerkSpot reserves the right to withdraw or amend portions of the Service at any
time, subject to the terms and conditions of its applicable agreements with Your
Organization. Except as otherwise set forth in Your Organization’s service
agreement, PerkSpot will not be liable to any users if for any reason all or any
part of the Service is unavailable at any time or for any period. From time to
time, PerkSpot may restrict access to some parts of the Service, or the entire
Service, to users.

You are responsible for:

 * Making all arrangements necessary for you to have access to the Service.
 * Ensuring that all persons who access the Service through your internet
   connection and/or access credentials are aware of these Terms of Use and
   comply with them.



To access the Service or some of the resources it offers, you may be asked to
provide certain registration details or other information. It is a condition of
your use of the Service that all the information you provide on the Service is
correct, current, and complete. You agree that all information you provide to
register with the Service or otherwise, including but not limited to through the
use of any interactive features on the Rewards Platform, is governed by the
Privacy Policy, and you consent to all actions PerkSpot takes with respect to
your information consistent with these Terms of Use, which includes the Privacy
Policy, incorporated herein by reference.

If you choose, or are provided with, a username, password, or any other piece of
information as part of PerkSpot’s security procedures, you must treat such
information as confidential, and you must not disclose it to any other person or
entity. You also acknowledge that your account is personal to you and agree not
to provide any other person with access to the Service or portions of it using
your username, password, or other security information. You agree to notify
PerkSpot and Your Organization (as applicable) immediately of any unauthorized
access to or use of your username or password or any other breach of security.
You also agree to ensure that you exit from your account at the end of each
session. You should use caution when accessing your account from a public or
shared computer so that others are not able to view or record your password or
other personal information.

PerkSpot has the right to disable a user account and any username, password, or
other identifier, whether chosen by you or provided by us, at any time if, in
PerkSpot’s opinion, you have violated any provision of these Terms of Use.

Intellectual Property Rights

The Service and its entire contents, features, and functionality (including but
not limited to all information, software, text, displays, images, video, and
audio, and the design, selection, and arrangement thereof) are owned by
PerkSpot, its licensors, or other providers of such material and are protected
by United States and international copyright, trademark, patent, trade secret,
and other intellectual property or proprietary rights laws.

These Terms of Use permit individual users to use the Service for their
personal, non-commercial use only as part of their individual participation in
their organization’s individual program. Unless otherwise permitted as expressly
set forth in these Terms of Use (or in any of the terms and conditions
incorporated by reference herein):

(i) you must not reproduce, distribute, modify, create derivative works of,
publicly display, publicly perform, republish, download, store, or transmit any
of the material on the Service, except as follows:

 * Your computer may temporarily store copies of such materials in RAM
   incidental to your accessing and viewing those materials.
 * You may store files that are automatically cached by your Web browser for
   display enhancement purposes.
 * You may print or download a reasonable number of pages (i.e., screen
   captures) of the Rewards Platform for your own personal, non-commercial use
   and not for further reproduction, publication, or distribution.
 * If PerkSpot provides desktop, mobile, or other applications for download, you
   may download a single copy to your computer or mobile device solely for your
   own personal, non-commercial use, provided you agree to be bound by
   PerkSpot’s end user license agreement for such applications.
 * If PerkSpot provides social media features with certain content, you may take
   such actions as are enabled by such features.

The PerkSpot name, the PerkSpot logo, and all related names, logos, product and
service names, designs, and slogans are trademarks of PerkSpot or its affiliates
or licensors. You must not use such marks without the prior written permission
of PerkSpot. All other names, logos, product and service names, designs, and
slogans on the Service are the trademarks of their respective owners.

Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these
Terms of Use. You agree not to use the Rewards Platform:

 * In any way that violates any applicable federal, state, local, or
   international law or regulation (including, without limitation, any laws
   regarding the export of data or software to and from the US or other
   countries).
 * For the purpose of exploiting, harming, or attempting to exploit or harm
   minors in any way by exposing them to inappropriate content, asking for
   personally identifiable information, or otherwise.
 * To send, knowingly receive, upload, download, use, or re-use any material
   that does not comply with the Content Standards (see below) set out in these
   Terms of Use.
 * To impersonate or attempt to impersonate PerkSpot, a PerkSpot employee,
   another user, or any other person or entity (including, without limitation,
   by using email addresses, or account or screen names, associated with any of
   the foregoing).
 * To engage in any other conduct that restricts or inhibits anyone’s use or
   enjoyment of the Service, or which, as determined by PerkSpot, may harm
   PerkSpot or users of the Service or expose them to liability.



Additionally, you agree not to:

 * Use the Service in any manner that could disable, overburden, damage, or
   impair the Service or interfere with any other party’s use of the Service,
   including their ability to engage in real time activities through the
   Service.
 * Use any bot, spider, or other automatic device, process, or means to access
   the Service for any purpose, including monitoring or copying any of the
   material on the Service.
 * Use any manual process to monitor or copy any of the material on the Service
   or for any other unauthorized purpose without PerkSpot’s prior written
   consent.
 * Use any device, software, or routine that interferes with the proper working
   of the Service.

   that is malicious or technologically harmful.
 * Attempt to gain unauthorized access to, interfere with, damage, or disrupt
   any parts of the Service, the server on which the Service is stored, or any
   server, computer, or database connected to the Service.
 * Attack the Service via a denial-of-service attack or a distributed
   denial-of-service attack.
 * Otherwise attempt to interfere with the proper working of the Service.



User Contributions

The Rewards Platform may contain email features, message boards, chat features,
personal web pages or profiles, forums, bulletin boards, and/or other
interactive features (collectively, "Interactive Services") that might allow
users to post, submit, publish, display, or transmit to other users or other
persons (for purposes of this section, hereinafter, "post") content or materials
(collectively, "User Contributions") on or through the Service.

All User Contributions must comply with the Content Standards set out in these
Terms of Use.

Any User Contribution you post via the Service will be considered
non-confidential and non-proprietary. By providing any User Contribution on the
Service, you grant PerkSpot and our affiliates and service providers, and each
of their and our respective licensees, successors, and assigns the right to use,
reproduce, modify, perform, display, distribute, and otherwise disclose to third
parties any such material for any purpose/according to your account settings.

You represent and warrant that all of your User Contributions do and will comply
with these Terms of Use. You understand and acknowledge that you are responsible
for any User Contributions you submit or contribute, and you, not PerkSpot, have
full responsibility for such content, including its legality, reliability,
accuracy, and appropriateness. PerkSpot is not responsible or liable to any
third party for the content or accuracy of any User Contributions posted by you
or any other user of the Service.

Content Standards

These content standards ("Content Standards") apply to any and all use of the
Service. Use must in their entirety comply with all applicable federal, state,
local, and international laws and regulations. Without limiting the foregoing,
users must not:

 * Promote any material that is defamatory, obscene, indecent, abusive,
   offensive, harassing, violent, hateful, inflammatory, or otherwise
   objectionable.
 * Promote sexually explicit or pornographic material, violence, or
   discrimination based on race, sex, religion, nationality, disability, sexual
   orientation, or age.
 * Infringe any patent, trademark, trade secret, copyright, or other
   intellectual property or other rights of any other person.

 * Cause annoyance, inconvenience, or needless anxiety or be likely to upset,

 * Impersonate any person, or misrepresent your identity or affiliation with any
   person or organization.
 * Give the impression that they emanate from or are endorsed by us or any other
   person or entity, if this is not the case.



Reliance on Information Posted

The Service may include content provided by third parties, including materials
provided by other users, and third-party licensors, syndicators, aggregators,
and/or reporting services. All statements and/or opinions expressed in these
materials, and all articles and responses to questions and other content, other
than the content provided by PerkSpot, are solely the opinions and the
responsibility of the person or entity providing those materials. These
materials do not necessarily reflect the opinion of PerkSpot. PerkSpot is not
responsible, or liable to you or any third party, for the content or accuracy of
any materials provided by any third parties.

Linking to the Service

If PerkSpot provides you written authorization to link to the Service or the
PerkSpot homepage, you may do so only in such a way that is fair and legal and
does not damage PerkSpot’s reputation or take advantage of it, and you must not
establish a link in such a way as to suggest any form of association, approval,
or endorsement by PerkSpot without PerkSpot’s express written consent.

Links from the Service

If the Service contains links to other websites and resources provided by third
parties, these links are provided for your convenience only. PerkSpot has no
control over the contents of those websites or resources, and accepts no
responsibility for them or for any loss or damage that may arise from your use
of them. This includes links contained in advertisements, including banner
advertisements and sponsored links. If you decide to access any of the
third-party websites linked to the Service, you do so entirely at your own risk
and subject to the terms and conditions of use for such websites.

Acceptance of Additional Rewards Program and Loyalty Program Terms ("Additional
Terms")

In addition to the foregoing terms and conditions of these Terms of Use, all
Service users further acknowledge and agree to these Additional Terms, which are
part of and included in these Terms of Use, as follows:

1. In connection with the Service, eligible users may be awarded points or
credits ("Points") from time to time in such amounts and at such times as are
determined in the sole discretion of PerkSpot and/or Your Organization. Points
are not issuable in exchange for any money or other value or consideration. For
some purchases on the Service, you may be permitted to redeem Points for part or
all of the purchase price in combination with another payment method. PerkSpot
will determine, in its sole discretion, when and how Points may be used for
purchases. You will not earn Points for any part of a purchase you make using
Points.

2. Points cannot be transferred from one person or account to another person or
account. Points from multiple persons or accounts cannot be added together.
Points are solely for awards purposes, are redeemable only through the Service,
and are not made available or marketed to the general public. Points must be
redeemed by the authorized user to whom such Points are awarded and may not be
used for another person.

3. Points may not be combined with any other awards, loyalty, or promotional
program.

4. Points are not the property of user, and they cannot be bought, sold, or
transferred in any way (including upon death or as part of a domestic relations
matter).

5. Points are tracked and will be redeemed in the following order: Points earned
through your Rewards Program, if applicable will be redeemed first; when your
Rewards Program Points have been depleted, we will then redeem your Loyalty
Program Points. PerkSpot and/or Your organization reserve the right to expire
Points based on your participation and eligibility within the Rewards Program
and/or the Loyalty Program. If PerkSpot or Your Organization decides that
certain Points will expire at some point in time, then you will be notified.

6. You agree to release PerkSpot and Your Organization, as administrator of the
Rewards Program and/or the Loyalty Program, and PerkSpot’s merchants and
vendors, from all liability for any injury, accident, loss, claim, expense, or
damages sustained by you, associated with an award of Points or use of Points
while participating in the Rewards Program and/or the Loyalty Program. The
foregoing parties shall not be liable for consequential damages, and the sole
extent of liability, if at all, shall not exceed the actual value of the Points
awarded to you.

7. PerkSpot is not responsible for determining any tax liability arising from
your participation in the Rewards Program and/or the Loyalty Program. Please
consult a tax advisor concerning tax consequences, as necessary.

8. Your Organization, PerkSpot’s partners, and PerkSpot shall have no liability
for disputes with you or any other employee regarding Points. PerkSpot’s
decision regarding Points discrepancies shall be final.

9. Points balances will be updated periodically. There may be unexpected delays
following notification by Your Organization to PerkSpot of the issuance of
Points.

10. PerkSpot reserves the right to disqualify any user from participation in the
Rewards Program and/or the Loyalty Program and invalidate all Points for abuse,
fraud, or any violation of these Terms of Use (which includes these Additional
Terms) or any other rules applicable to the Service. PerkSpot may make such a
determination in its sole and absolute discretion.

11. The Rewards Program and the Loyalty Program are void where prohibited by
federal, state, or local law. To the extent permitted by applicable law, Points
are not exchangeable or redeemable for cash under any circumstances.

12. To the extent permitted by its agreements with Your Organization, PerkSpot
reserves the right to change these Additional Terms, and any other terms
applicable to the Service at any time with or without notice. At PerkSpot’s
option and to the extent permitted by applicable law, redemption of Points may
be restricted, limited, expired, or cancelled at any time without prior notice.
Your organization and PerkSpot each reserve the right to terminate this Rewards
Program and/or the Loyalty Program, or your access to some or all of the
Service, subject to the terms and conditions of the respective applicable
agreements between them.

13. The Rewards Program and/or the Loyalty Program is a service provided through
PerkSpot and Your Organization. In the event of fraud or abuse of Rewards
Program privileges, or violation of these Additional Terms, or any other terms
of these Terms of Use or applicable Service rules (including any attempt to
sell, exchange or transfer Points or the instrument exchangeable for Points),
PerkSpot and Your Organization each reserve the right to cancel any such
violator’s participation in this Rewards Program and/or the Loyalty Program.

14. Your participation in the Rewards Program and/or the Loyalty Program is at
all times subject to the Privacy Policy.

Governing Law and Venue

These Terms of Use are governed by Illinois law, without reference to its
conflicts of law doctrine, as such law is applied to agreements entered into and
performed entirely within such jurisdiction. Any disputes in connection with
these Terms that result in court action shall be resolved exclusively by a state
or federal court located in Cook County, Illinois, and you specifically and
irrevocably consent to the personal jurisdiction of such courts and waive any
claim of forum non conveniens.

Disclaimer and Limitations of Liability

You understand that we cannot and do not guarantee or warrant that Service will
be free of viruses or other destructive code. You are responsible for
implementing sufficient procedures and checkpoints to satisfy your particular
requirements for anti-virus protection and accuracy of data input and output,
and for maintaining a means external to our site for any reconstruction of any

effect.

Entire Agreement

These Terms of Use and the Companion Agreement, Privacy Policy, Payment Terms
and Conditions, and all other terms and conditions incorporated by reference
herein constitute the sole and entire agreement between you and PerkSpot
regarding your access to and use of the Service and your use thereof, and
supersede all prior and contemporaneous understandings, agreements,
representations, and warranties, both written and oral, regarding the Service.

The Rewards Platform is operated by PerkSpot, an Illinois limited liability
company located at 320 West Ohio Street, Suite 1W, Chicago, Illinois 60654.

All notices of copyright infringement claims should be sent to the copyright
agent designated in our Copyright Policy in the manner and by the means set out
