Start WOOLWORTHS HOLDINGS LIMITED ANNUAL CONTRACT 2024 1 of 1 document CORPORATE RATE AGREEMENT VALIDITY: - 2025-01-31 2024-02-01 ISSUED BY THE CAPITAL APARTMENTS AND HOTELS (PTY) LTD TO Woolworths Holdings Limited It gives me great pleasure to confirm the following corporate rates for with Woolworths Holdings Limited The Capital Hotel Apartments & Hotels (Pty) Ltd, as per the attached rate card and subject to the following terms and conditions: 1. COMPANY RATES 1.1 Rates issued as per this agreement are subject to quarterly production reviews of your room night production. 1.3 Rates applicable for accommodation at any particular Hotel/s – 1.3.1 Shall be quoted in South African Rand, and on a per room, per night basis i.e. the rate may change over the period of a reservation if it spans two rate periods or dates where a peak period supplement is applicable; 1.3.2 Shall be quoted on a NETT and non-commissionable basis; 1.3.3 Shall be based on the particular room type/s requested at a Hotel; Initials 1.3.4 Include accommodation and all prevailing government taxes and levies related to the provision of accommodation, including VAT, as may be applicable (but may exclude any other special levies unrelated to the provision of accommodation). 1.3.5 Include breakfast for one guest only. Should additional breakfast be required the applicable rate as per the breakfast supplement addendum will be charged accordingly, per person per day. 1.4 The Capital reserves the right to automatically, without prior notice, increase the rates should government taxes or levies be amended or should a further tax or levy be introduced during the duration of this agreement. 2. STANDARD VALUE ADDS • Complimentary Limited laundry and ironing service when booking an apartment • Complimentary Unlimited High-Speed Wi-Fi internet access • Complimentary Cleaning service • Complimentary Secure parking 3. AVAILABILITY OF CORPORATE RATES, TERMS AND CONDITIONS 3.1 The Capital reserves the right, at its discretion, to limit the number of rooms available at any particular rate. 3.2 The Capital reserves the right at its discretion to amend the payment and cancellation policies set out in this agreement during specified block-out periods as per the attached peak period dates addendum. 3.3 Corporate rates are offered particularly to the company indicated in this agreement and the Company shall not make the rates available directly to the general public nor any corporate market. 3.4 The contracted rates are not applicable for groups of guests consisting of 10 (ten) or more full-paying guests. 4. CHILDREN’S POLICY 4.1 Children 12 (twelve) years on a complimentary bed & breakfast basis, when accompanied by at least one (1) adult who is registered as a hotel guest at the Hotel. Subject to maximum room occupancy restrictions and subject to availability. Initials 4.2 Baby crib/cot is complimentary while rollaway beds may be chargeable. Rules for maximum room occupancy will supersede this offer. 4.3 Our Hotels may have policies and rules in place about accommodating children, which may differ from The Capital’s general policy or any terms and conditions set out herein. 4.4 The respective Hotel management may require proof of age. 5. PAYMENT AND CONFIRMATION OF RESERVATIONS 5.1 Full pre-payment is required within 48 hours of receiving confirmation, failing which the Hotel is not obliged to honour any reservations and may release the rooms for sale. 5.2 Notwithstanding any other provision of this agreement, any prepayment amounts paid shall be non-refundable and the Company shall have no claim to the repayment or refund thereof, including in the event of the termination of this agreement for any reason, save where such termination is the result of non-performance by The Capital of its obligations in terms of this agreement. 5.3 Any amount due to us in terms of our standard terms and conditions of residence that is not paid on the due date thereof shall attract interest at the rate equal to the prime overdraft rate charged from time to time by Standard Bank Limited to its most favourable clients in the private sector on unsecured overdraft facilities calculated daily and compounded monthly in arrears, plus 2% (two per centum) calculated from the due date until the actual date of payment. 5.4 Companies who have prearranged credit facilities at hotels will be required to settle accounts within 30 (thirty) days from the date of receipt of an invoice from the relevant Hotel. 5.5 For stays of 30 days or longer monthly invoices will be issued and settlement will be required within 30 (thirty) days from the date of receipt of an invoice from the relevant Hotel. 5.6 Hotels reserve the right to request deposits or full payment in advance of the above, in the case of large groups, long stays, or high occupancy. All payments must be made in South African Rand directly to each Hotel concerned. 5.7 Credit arrangements are on application only. 5.8 Unless credit facilities have been approved all group and guest reservations will be on a pre-payment basis only. 6. CANCELLATION AND AMENDMENT POLICY 6.1 A Cancellation made 8 days or more before the booked arrival date qualifies for a full refund and no cancellation fee. A Cancellation made 7 days or less before the booked arrival date will incur a 100% cancellation fee. Initials 6.2 When booking via the GDS a 24-hour cancellation period will be applicable unless otherwise negotiated on an RFP. Bookings made via the GDS should be cancelled via the GDS, not via any other method. 6.3 In cases of “No-Shows’ the hotel shall be entitled to claim full compensation for services ordered. 7. STANDARD TERMS AND CONDITIONS IN RESPECT OF THE HOTELS AND USE OF THE HOTEL FACILITIES 7.1 The Company acknowledges and accepts that the provision of all accommodation at the Hotels, as well as the use of the Hotels’ facilities, is subject to The Capital’s standard terms and conditions of residence save and except where the provisions of this guarantee may differ from the terms and conditions and in which case our standard terms and conditions prevail. 7.2 This agreement does not reserve or secure the use of the Hotel facilities as may be applicable unless otherwise specified. The Hotel will however use reasonable endeavours to accommodate guests should they require access to and use of any Hotel facilities, at the Hotel's prevailing charges (if any), in respect thereof. 7.3 The agreement is issued on the basis that you shall not misrepresent the Hotel and/or the Hotel's facilities or amenities in any advertisement, statement, or other representation to the public and that you indemnify and hold The Capital harmless against any claims, loss or damage arising from any such misrepresentation howsoever caused. 8. CESSION AND ASSIGNMENT You shall not cede, assign, delegate or otherwise dispose of or transfer the rights and obligations under this agreement to another person without the prior written consent of The Capital, consent of which shall not be unreasonably withheld. 9. FORCE MAJEURE The Capital shall not be liable to the company in respect of the non-performance of any of the provisions of this agreement, and further shall be entitled to cancel this guarantee without liability in the event and to the extent that such non-performance is the direct result of or has been directly caused by force majeure, which shall mean any event beyond the reasonable control of The Capital and which could not reasonably have been foreseen by it at the date of signature hereof. GENERAL 10.1 No agency, employment, partnership, distributorship, or joint venture shall be deemed to exist between the parties. 10.2 This guarantee is subject to interpretation in terms of the law of the country in which the relevant The Capital resides. 10.3 No provision of this agreement shall (unless otherwise stipulated) constitute a stipulation for the benefit of any person (stipulatio alteri) who is not a beneficiary of this agreement.
