<div id="declaration"><br>These Terms relate to the Bain report entitled: <span id="reportTitle">Project Elevate</span><br><br>Bain & Company, Inc. (or one of its affiliates) ("Bain") has developed materials for
one or more clients (the "Client(s)") in relation to the above-mentioned report. <span id="reportTitle"></span> Bain has been requested by its Client(s) to make various presentations, reports, analyses and other
materials (the "Materials") available to you for a particular commercial purpose (the "Purpose"). By clicking "Accept" you (which shall, for the purposes of Clauses 1 and 2, mean you in your personal capacity and,
for all other purposes, means your employer or the entity on whose behalf you are seeking access to the Materials) hereby acknowledge and agree as follows:<br><br>1. You have carefully read and understood these terms
and conditions (the "Terms").<br><br>2. You are permitted and/or authorized to sign legal documents for and on behalf of the organization whose name you fill in below. If you are not so permitted or authorized to
accept these Terms, please forward the access link you were sent to someone in your organization with signing authority or your legal department.<br><br>3. The Materials were prepared by Bain solely for the use of
Bain's Client(s). Bain is not making any representation or warranty to you as to the accuracy or completeness of the data or of any analysis thereof contained in the Materials being provided, or any other
representation or warranty whatsoever concerning the Materials. Bain does not have any duty to update or supplement the Materials. If Bain does update or supplement the Materials, you acknowledge and agree that the
information provided to you in connection with such updates or supplements is subject to these Terms. You are not permitted by Bain to rely on these Materials and any reliance you choose to place on the Materials is
a matter of your judgment exclusively and at your own risk.<br><br>4. Accordingly, to the greatest extent permitted by law, you hereby release and waive any claims you might otherwise have against Bain resulting from
any use you might elect to make of the Materials.<br><br>5. The Materials are confidential. You will use it only for the Purpose (or, with respect to your auditors, in the context of their supervisory functions).
Except as otherwise required by law, regulation, order of a court of competent jurisdiction or the rules of any stock exchange to which you are subject (a "Mandatory Disclosure") (provided that, to the extent legally
permissible, you notify Bain in advance prior to such Mandatory Disclosure so Bain may have an opportunity to secure adequate protections) or with Bain's prior written consent, you will not disclose the Materials to
any other person or party at any time, including without limitation in any securities offering document, other than to you and your affiliates and your and their respective employees, officers, directors, lawyers,
auditors and accountants and in each case who are informed of these Terms (your "Representatives"). You will be liable to Bain for any damages resulting from a breach of these Terms by your Representatives who have
not agreed in writing (including via electronic "click-through" acceptance similar to these Terms) to be bound by these Terms. For the purposes of these Terms, "affiliate" means any person directly or indirectly
controlling, controlled by or under common control with you.<br><br>6. In the event of a Mandatory Disclosure, you agree, to the extent legally permissible, to provide Bain with written notice promptly upon becoming
aware of the disclosure obligation, and at Bain's expense to reasonably cooperate with Bain in its efforts to obtain a protective order or otherwise limit the scope and/or impact of such disclosure.<br><br>7. In
consideration of Bain allowing you access to the Materials, you agree that you do not acquire any rights as a result of such access that you would not otherwise have had and acknowledge that Bain does not assume any
duties or obligations to you in connection with such access.<br><br>8. By accepting these Terms and providing your details below, you agree to Bain storing and processing your data for compliance and record keeping
purposes. Your information will be stored on Bain's servers located in the United States of America and will be accessible from all Bain offices globally.<br><br>9. You must not introduce any computer virus, "Trojan
horse", "worm" or other destructive code or device (or similar) to the systems on which access to the Materials are processed or where the Materials are accessed or stored.<br><br>10. You must not attempt to
circumvent any of the security features which may be implemented in connection with accessing the Materials and, unless expressly permitted by Bain, must not enable or allow others to access the Materials. Bain
reserves the right to at any time upon breach of these Terms by you to oblige you to return the Materials and delete/destroy all copies you have made (copies automatically archived on electronic storage systems in
the ordinary course of business need not be destroyed, provided that they are not accessed and kept confidential).<br><br>11. Please be advised that if you have previously entered into a Master Access Letter with
Bain, your acceptance below constitutes (at your later election) either (i) your acknowledgement that your access to the Materials shall continue to be governed by the terms of such Master Access Letter without
reference to these Terms (save that clicking "Accept" below shall be deemed an access acknowledgment for the purposes of that Master Access Letter) or (ii) your acknowledgement that your access to the Materials shall
be governed by these Terms without reference to such Master Access Letter.<br><br>12. Access to the Materials does not grant to you (i) any license under any copyrights, patents, trademarks, trade secrets or other
proprietary rights to use or reproduce any of the Materials, or (ii) any rights in the frameworks, methodologies, analytical tools and industry data and insights used or developed by Bain in preparing the Materials
or otherwise contained therein. In particular, you agree not to remove any proprietary rights legend from the Materials and upon request you shall add any proprietary legends requested by Bain to the
Materials.<br><br></div><br><br>

BAIN REPORT ONLINE ACCESS TERMS
These Terms relate to the Bain report entitled: Project Elevate
Bain & Company, Inc. (or one of its affiliates) ("Bain") has developed materials
for one or more clients (the "Client(s)") in relation to the above-mentioned
report. Bain has been requested by its Client(s) to make various presentations,
reports, analyses and other materials (the "Materials") available to you for a
particular commercial purpose (the "Purpose"). By clicking "Accept" you (which
shall, for the purposes of Clauses 1 and 2, mean you in your personal capacity
and, for all other purposes, means your employer or the entity on whose behalf
you are seeking access to the Materials) hereby acknowledge and agree as
follows:
1. You have carefully read and understood these terms and conditions (the
"Terms").
2. You are permitted and/or authorized to sign legal documents for and on behalf
of the organization whose name you fill in below. If you are not so permitted or
authorized to accept these Terms, please forward the access link you were sent
to someone in your organization with signing authority or your legal department.
3. The Materials were prepared by Bain solely for the use of Bain's Client(s).
Bain is not making any representation or warranty to you as to the accuracy or
completeness of the data or of any analysis thereof contained in the Materials
being provided, or any other representation or warranty whatsoever concerning
the Materials. Bain does not have any duty to update or supplement the
Materials. If Bain does update or supplement the Materials, you acknowledge and
agree that the information provided to you in connection with such updates or
supplements is subject to these Terms. You are not permitted by Bain to rely on
these Materials and any reliance you choose to place on the Materials is a
matter of your judgment exclusively and at your own risk.
4. Accordingly, to the greatest extent permitted by law, you hereby release and
waive any claims you might otherwise have against Bain resulting from any use
you might elect to make of the Materials.
5. The Materials are confidential. You will use it only for the Purpose (or,
with respect to your auditors, in the context of their supervisory functions).
Except as otherwise required by law, regulation, order of a court of competent
jurisdiction or the rules of any stock exchange to which you are subject (a
"Mandatory Disclosure") (provided that, to the extent legally permissible, you
notify Bain in advance prior to such Mandatory Disclosure so Bain may have an
opportunity to secure adequate protections) or with Bain's prior written
consent, you will not disclose the Materials to any other person or party at any
time, including without limitation in any securities offering document, other
than to you and your affiliates and your and their respective employees,
officers, directors, lawyers, auditors and accountants and in each case who are
informed of these Terms (your "Representatives"). You will be liable to Bain for
any damages resulting from a breach of these Terms by your Representatives who
have not agreed in writing (including via electronic "click-through" acceptance
similar to these Terms) to be bound by these Terms. For the purposes of these
Terms, "affiliate" means any person directly or indirectly controlling,
controlled by or under common control with you.
6. In the event of a Mandatory Disclosure, you agree, to the extent legally
permissible, to provide Bain with written notice promptly upon becoming aware of
the disclosure obligation, and at Bain's expense to reasonably cooperate with
Bain in its efforts to obtain a protective order or otherwise limit the scope
and/or impact of such disclosure.
7. In consideration of Bain allowing you access to the Materials, you agree that
you do not acquire any rights as a result of such access that you would not
otherwise have had and acknowledge that Bain does not assume any duties or
obligations to you in connection with such access.
8. By accepting these Terms and providing your details below, you agree to Bain
storing and processing your data for compliance and record keeping purposes.
Your information will be stored on Bain's servers located in the United States
of America and will be accessible from all Bain offices globally.
9. You must not introduce any computer virus, "Trojan horse", "worm" or other
destructive code or device (or similar) to the systems on which access to the
Materials are processed or where the Materials are accessed or stored.
10. You must not attempt to circumvent any of the security features which may be
implemented in connection with accessing the Materials and, unless expressly
permitted by Bain, must not enable or allow others to access the Materials. Bain
reserves the right to at any time upon breach of these Terms by you to oblige
you to return the Materials and delete/destroy all copies you have made (copies
automatically archived on electronic storage systems in the ordinary course of
business need not be destroyed, provided that they are not accessed and kept
confidential).
11. Please be advised that if you have previously entered into a Master Access
Letter with Bain, your acceptance below constitutes (at your later election)
either (i) your acknowledgement that your access to the Materials shall continue
to be governed by the terms of such Master Access Letter without reference to
these Terms (save that clicking "Accept" below shall be deemed an access
acknowledgment for the purposes of that Master Access Letter) or (ii) your
acknowledgement that your access to the Materials shall be governed by these
Terms without reference to such Master Access Letter.
12. Access to the Materials does not grant to you (i) any license under any
copyrights, patents, trademarks, trade secrets or other proprietary rights to
use or reproduce any of the Materials, or (ii) any rights in the frameworks,
methodologies, analytical tools and industry data and insights used or developed
by Bain in preparing the Materials or otherwise contained therein. In
particular, you agree not to remove any proprietary rights legend from the
Materials and upon request you shall add any proprietary legends requested by
Bain to the Materials.
In order to accept the terms above, please fill in the requested information
below and then click "Accept". By clicking "Accept" below, you hereby
acknowledge, agree and affirm that you are authorized to accept the terms listed
above for and on behalf of the organization on whose behalf you are accepting,
and such acceptance gives rise to a contractual relationship between Bain and
that organization.
IMPORTANT NOTE: nothing in these Terms shall give rise to personal liability to
the individual accepting on behalf of an organization; only the organization is
bound.
