NOTICE OF CLASS ACTION SETTLEMENT AND HEARING DATE FOR FINAL COURT APPROVAL

Fox et al. v. Verkada Inc., San Mateo Superior Court, Case No. 23-CIV-00193

The Superior Court for the State of California authorized this Notice. Read it
carefully. It is not junk mail, spam, an advertisement, or a solicitation by a
lawyer. You are not being sued.

You are receiving this Notice because, according to Verkada’s records, you are a
Class Member, a Collective Member, and/or an Aggrieved Employee in a lawsuit
entitled Fox et al. v. Verkada Inc., pending in the Superior Court of the State
of California, County of San Mateo, Case No. 23-CIV-00193 (the “Action”).

In the Action, the Plaintiffs (Christopher Fox, Thomas Sims, and Kyree
Washington) are former Verkada employees who worked in certain sales-related
roles. The Plaintiffs allege, among other things, that Verkada misclassified
them as exempt from overtime under California and federal law (the “FLSA”) and
failed to pay them overtime for overtime hours worked. Plaintiffs also claimed
that Verkada failed to provide them with all meal and rest breaks and failed to
reimburse them for reasonably necessary business expenses under California law.
Plaintiffs sought to recover unpaid overtime wages, unpaid premium pay for
missed breaks, statutory penalties, civil penalties under the California Private
Attorneys General Act (“PAGA”), and other related relief on behalf of themselves
and others, including yourself.

Verkada denies all liability in this Action, denies that any of Plaintiffs’
claims have merit, and denies that a class, collective, or representative action
is proper for any purpose other than settlement. Plaintiffs and Verkada
recognize the costs and risks of litigation and believe that the proposed
Settlement is a fair and reasonable resolution.
