1.1 This Privacy Policy describes how EIDO Healthcare Limited and EIDO Systems
International Limited (together referred to as EIDO) will process your personal
data.

1.2 EIDO respects your privacy and is committed to protecting your personal

1.3 If you are a medical professional who has provided us with personal data in
connection with your use of any of our services please see the privacy notice

1.4 All personal data that we process relating to you, will be handled in line
with all applicable data protection laws.

1.5 Our products, services, publications and websites are not intended for

8.1 We will only use your personal data for the purposes for which we collected
it and which we have notified to you, unless we reasonably consider that we need

8.2 If we need to use your personal data for an unrelated purpose, we will
notify you and either ask for your consent or notify you (depending which is
most appropriate) we will explain the legal basis which allows us to do so.

8.3 Please note however that we may process your personal data without your

9.1 We may share your personal data with the parties set out below for the
purposes set out in the table (Purposes for which we will use your personal

9.1.1 Other members of staff in the same group of companies as EIDO from time to
time to ensure the efficient operation of each member of the group;

administration and support services, developers cloud service providers and
payment service providers;

9.1.2.2 professional advisers including lawyers, bankers, auditors and insurers
who provide consultancy, banking, legal, insurance and accounting services;

9.1.2.3 HM Revenue & Customs, regulators and other authorities who require
reporting of processing activities in certain circumstances.

9.1.3 Third parties to whom we may choose to sell, transfer or merge parts of
our business or our assets. Alternatively, we may seek to acquire other
businesses or merge with them. If a change happens to our business, then the new
owners may use your personal data in the same way as set out in this privacy
notice.

9.2 We require all third parties to respect the security of your personal data
and to treat it in accordance with the law. We do not allow our third-party
service providers to use your personal data for their own purposes and only
permit them to process your personal data for specified purposes and in
accordance with our instructions.

9.3 Our websites may include links to third-party websites, plug-ins and

10. WHERE IN THE WORLD DO WE TRANSFER YOUR PERSONAL DATA TO?

10.1 Some of the third parties we share your personal data with are based
outside the UK and the EEA. As a result, your personal data will be transferred
to, or accessed from, outside the UK and EEA

10.2 Whenever we transfer your personal data out of the EEA, we ensure a similar
degree of protection is afforded to it by ensuring at least one of the following
safeguards is implemented:

10.2.1 We will only transfer your personal data to countries that have been
deemed to provide an adequate level of protection for personal data by the
European Commission.

10.2.2 Where we use certain service providers, we may use specific contracts
approved by the European Commission which give personal data the same protection
it has in Europe.

11. HOW DO WE KEEP YOUR PERSONAL DATA SECURE?

11.1 We have put in place appropriate security measures to prevent your personal
data from being accidentally and inadvertently lost, used or accessed in an
unauthorised way, altered or disclosed. In addition, we limit access to your
personal data to those employees, agents, contractors and other third parties
who have a business need to know it.

11.2 We have put in place procedures to detect and respond to any suspected or
known personal data breach and will notify you and any applicable regulator of a
breach where we are legally required to do so.


12. HOW LONG DO WE KEEP YOUR PERSONAL DATA FOR?

12.1 We will only keep your personal data for as long as reasonably necessary to
fulfil the purposes we collected it for, including for the purposes of
satisfying any legal, regulatory, tax, accounting or reporting requirements.

12.2 To determine the appropriate retention period for personal data, we
consider the purpose(s) for which your personal data was collected, the amount,
nature and sensitivity of the personal data, the potential risk of harm from
unauthorised use or disclosure of your personal data and whether we can achieve
those purposes without handling your personal data at all. We also consider
where applicable legal, regulatory, tax, accounting or other requirements.

12.3 Details of the specific periods for that we keep your personal data are

12.4 In some circumstances we will anonymise your personal data (so that it can
no longer be associated with you) so that we then use it for research and/or
statistical purposes, in which case we may use this information indefinitely
without further notice to you.


13. YOUR LEGAL RIGHTS AS A DATA SUBJECT

13.1 At any point while we are in possession of your personal data, you, data
protection laws give you a number of rights. You can exercise these rights at
any time by contacting us at dpo@eidohealthcare.com. You should be aware that
all of these rights apply in all circumstances but we will consider each request
individually and if any right does not apply, we will explain why.

13.1.1 Right to access your personal data (commonly known as a “data subject
access request). This enables you to request a copy of the personal data that we
hold about you and check that we are lawfully processing it.

13.1.2 Right to rectification your personal data. This enables you to have any
incomplete or inaccurate data we hold about you corrected, though we may need to
verify the accuracy of the new data you provide to us.

13.1.3 Right to be forgotten. This enables you, in certain circumstances, to ask
us to delete or remove personal data where there is no good reason for us to
continue processing it. You also have the right to ask us to delete or remove
your personal data where you have successfully exercised your right to
restriction to processing (see below), where we may have processed your
information unlawfully or where we are required to erase your personal data to
comply with local law. Note, however, we may not always be able to comply with
your request for erasure for specific legal reasons which will be notified to
you, if applicable, at the time of your request.

13.1.4 Right to restrict processing of your personal data. This enables you to
ask us to suspend the processing of your personal data in the following
scenarios:

13.1.4.1 If you want to establish the data’s accuracy.

13.1.4.2 Where our use of the data is unlawful but you do not want us to erase
it.

13.1.4.3 Where you need us to hold the data even if we no longer require it as
you need to establish, exercise or defend legal claims.

13.1.4.4 You have objected to our use of your data but we need to verify whether
we have overriding legitimate grounds to us it.

13.1.5 Right of portability. Where this right applies we will provide to you, or
a third party you have chosen, your personal data in a structured, commonly
used, machine-readable format

13.1.6 Right to object to your personal data being processed. Where we are
relying on a legitimate interest (or those of a third party) and you want to
object to processing. You also have the right to object where we are processing
your personal data for direct marketing purposes. In some cases, we may
demonstrate that we have compelling legitimate grounds to process your
information which override your rights and freedoms. However where you object to
us processing your personal data for direct marketing purposes we will always
comply.

13.1.7 Right to withdraw consent. Where we are relying on consent to process
your personal data you can withdraw your consent at any time. However, this will
not affect the lawfulness of any processing carried out before you withdraw your
consent. If you withdraw your consent, we may not be able to provide certain
products or services to you. We will advise you if this is the case at the time
you withdraw your consent.

13.2 Where your personal data has been disclosed to a third party (as stated in
paragraph 9.1.2 above), any request received from you in connection with your
rights set out above will also be shared with such relevant third party if
required.

TERMS OF USE

 1.  This EIDO Download Centre (Download Centre) is owned and operated by EIDO
     Systems International Limited a company registered in England & Wales with
     company registration number 09485836 (EIDO).
 2.  If you have a user account on the Download Centre your employer (Employer)
     will have entered into an agreement with an entity that is an authorised
     distributor of EIDO (Distributor) under which your Employer is permitted to
     have access to one or more of the services available on the Download Centre
     (Service).
 3.  These Terms of Use (Terms) govern your use of the Download Centre and any
     Service accessed through it.
 4.  The Terms have legal effect between you and the Distributor. By accessing a
     Service you agree to comply with, and be legally bound by, the Terms. If
     you do not wish to be legally bound by the Terms you must not access any
     Service.
 5.  By providing you with a user account the Distributor permits you to access
     the Service on behalf of your Employer. Your Employer is responsible for
     your use and actions relating to the Service, and ensuring that you only
     use the Service as permitted by these Terms.
 6.  You may only use the Service on behalf of your Employer at its premises
     (Premises) in connection with treatment being provided to a patient at such
     Premises, such use shall include searching the Service, viewing, printing,
     downloading and saving on your Employer’s electronic media the content of
     the Service (Content), and providing a copy of relevant Content to such a
     patient in connection with treatment being provided to that patient. You
     may not otherwise make the Service or any of its Content available for use
     by any person.
 7.  All intellectual property rights in the Service and Content are owned by
     the Distributor or a third party provider of services to the Distributor.
     You will not remove or conceal any proprietary notices on any part of the
     Service or any of the Content.
 8.  The Service is provided to your Employer, and the Distributor shall have no
     liability to you whether for breach of contract, negligence or otherwise in
     relation to your use of it. You should note in particular that neither the
     Service nor any of the Content is intended to constitute:
 9.  a definitive or complete statement of any surgical and/or medical
     procedure; nor
 10. medical and/or surgical advice in any specific situation.
 11. Your access to the Service may be suspended or terminated at any time
     including if the User Agreement expires or is terminated, or you are using
     or have used the Service in breach of these Terms or the User Agreement.
 12. You agree and understand that the Distributor may process your personal
     information in accordance with its privacy statement. Cookies are used on
     the Download Centre in accordance with such privacy statement.
 13. The Distributor may change these Terms at its discretion, such changes will
     be effective from the next time you use the Service.
 14. These Terms are governed by the laws of England.
