RISK FACTORS

You should read the Frequently Asked Questions and Terms and Conditions in full
before deciding whether to buy BTcoins and bear in mind the risks of buying
value-based coins, such as:

 * The value of BTcoins is backed by BalaTAM, if you purchase BTcoins and
   BalaTAM ceases to operate, you might not get your money back.
 * Before deciding, think about whether purchasing BTcoin is right for you and
   don’t purchase more than you can afford.
 * If you purchase BTcoins in a currency other than your own and then choose to
   return them within the 14-day period, the refunded amount may not be the same
   as the purchase price in your own currency.
 * Factors outside of BalaTAM’s control (e.g., commodity prices, regulation) may
   affect the operational costs and thereby increase the price of their
   products.
 * BTcoinholders are not secured debt holders and BTcoinholders could find their
   entitlement to the proceeds of a liquidation reduced or nil.

Terms and Conditions

1. Information On Who We Are And This Agreement

1.1. These terms and conditions apply to value-based coins issued by TJCLC &
FRIENDS PTE. LTD t/a BalaTAM, whose registered office is at, 23A NEIL ROAD,
SINGAPORE 088815, Uen: 201415643H.

1.2. BTcoins are issued by BalaTAM Ltd. In this agreement, “We”, “Us” or “Our”
refers to BalaTAM. “You” or “Your” refers to the individual purchasing or using
the BTcoin in question.

1.3. The production of BTcoin and the technology systems required to operate the
associated BTcoin programmes are provided by BalaTAM. BalaTAM also provides
customer support for BTcoins as set out in section 13 below.

1.4. This document sets out an agreement between You and Us governing the
possession and use of your BTcoin. This agreement will last for a period of 10
years, starting on the date that the BTcoin was purchased. This agreement and
all communications between You and Us shall be in the English language. You must
be old enough to enter a commercial contract in the country where you are buying
BTcoins when you buy BTcoins.

1.5. By purchasing or using a BTcoin You are indicating to Us that You agree to
all of the terms and conditions in this agreement. It is the responsibility of
the purchaser to inform the intended coin holder that usage of the BTcoin is
subject to these terms and conditions.

2.Our BTcoin Product

2.1 A BTcoin is a value-based coin which provides discounts and loyalty scheme
benefits to BTcoinholders as set out in Schedule A. It can be purchased by using
Stripe via a web app;

2.2 You may purchase BTcoins in any country but must purchase them in Singapore
Dollars (SGD). Currency conversions (where required) will be done by your bank
at the time of purchase on your behalf.

2.3 The purchase of A BTcoin is the purchase of a means of payment; it does not
constitute a deposit. You will not earn interest on your BTcoin, however you may
be eligible for additional reward opportunities from BalaTAM while you hold your
BTcoins see appendix A.

2.4 Your BTcoin(s) will be loaded into your account and you will be able to
access your account through a free BalaTAM mobile and web application that must
be downloaded to your mobile telephone and / or desktop.

3.Identification Requirements

3.1. Usually, you will only be required to provide an email address and payment
details to purchase BTcoins and to use BTcoins to purchase BalaTAM Ltd products
in their store(s). However, we may ask for personal information and evidence of
Your identity before we issue a BTcoin to You. We do so to combat fraud, money
laundering and other financial crime. We also use this information to identify
You and Your BTcoin if it is lost or stolen. We only keep this information for
as long as necessary and for the purposes described.

3.2. If You fail to provide Us with the requested evidence of identity, or if at
Our sole discretion We are not satisfied with the evidence You have presented to
Us, We reserve the right not to issue BTcoin(s) to You. Our decision shall be
final, and We shall not be obliged to provide a reason for refusing to issue
BTcoin(s) to You.

3.3. In the event that You elect to purchase BTcoin(s) online, We may carry out
electronic identification checks to verify Your identity.

4.Data Protection

4.1 We are committed to ensuring that all of the personal information We hold is
secured, protected and used responsibly at all times. We comply with current
data protection legislation; for further information relating to data protection
matters, please refer to Our Data Protection and Privacy Statement which can be
found in the FAQ section of the BTcoin web app.

4.2 Some of the information we collect is provided when you buy or sell BTcoins.
This may include your first and last name, username, password, email address,
postal address, phone number, payment information, location of purchase, gender,
date of birth, and, when you exchange your BTcoins, your identification
information, as well as any other information you give us. You may also permit
us to access information directly from your device, such as information in the
“contacts list”.

4.3 Some information is collected automatically, including when you access our
mobile and web applications. This information includes:

4.3.1 information about your device which may include what type of device you
are using, your operating system, your internet service provider, your domain
name, your IP address, your device and mobile ad identifiers.

4.3.2 information about the location of your device, including GPS location, for
the purposes of enhancing or facilitating our services.

4.4 The data we collect above is to help foster our community and provide You
with relevant benefits in the future.

5.How To Use Your BTcoin/p>

5.1. You, or the person to whom you have gifted BTcoins, must be legally
entitled to purchase BalaTAM Ltd products in the location where you are buying
them at the time of purchase.

5.2. We will be entitled to assume that a transaction was authorised by You
where:

5.2.1. You make purchases on our website.

5.3. The BTcoin(s) may be used to pay for BalaTAM Ltd products in full.
Purchases of BalaTAM Ltd products must be made using BTcoins

6.Restrictions On Use Of BTCoin

6.1. A BTcoin may only be used to make payments for products with BalaTAM Ltd.

6.2. A BTcoin may not be topped up after use, you would need to purchase
additional BTcoins.

6.3. A BTcoin cannot be used to withdraw cash via ATMs, banks, or other
institutions.

6.4. A BTcoin may not be used to purchase foreign currency or cryptocurrency
(where accepted);

6.5. A BTcoin is not permitted to be used for the purpose of purchasing Our
BTcoins.

6.6. A BTcoin is not:

6.6.1. Linked to a bank account,

6.6.2. A cheque guarantee card,

6.6.3. A charge card; or

6.6.4. A credit card.

6.7. A BTcoin balance does not attract interest (but see section 2.2 above and
appendix 1 where BalaTAM Ltd sets out details of any current additional rewards
for BTcoinholders);

6.8. A BTcoin is neither permitted nor suitable to be used for the purposes of
identification.

6.9. A BTcoin may not be used for pre authorised regular payments, for gambling,
or for any illegal purposes;

6.10. We may restrict use of Your BTcoin if:

6.10.1. We suspect that the BTcoin is being used for, or is in any way
associated with, fraudulent or other illegal activities.

6.10.2. We believe You have breached, or otherwise failed to comply with, these
terms and conditions; or

6.10.3. In the event of exceptional circumstances which prohibit the normal
operation of the BTcoin.

7.Managing Your BTcoin

7.1. The balance available on the digital wallet will be reduced by the value of
each payment that is made using the UrbanJerseyCoin.

7.1. The balance available in your mobile and web application will be reduced by
the value of each payment that is made using the BTcoin.

7.2. You may check the available balance on Your BTcoin or view a statement of
recent transactions by checking your mobile and web application balance in the
web app.

7.3 You are responsible for all contractual, regulatory and tax implications of
your purchase or sale of BTcoins.

8.Expiry Of The BTcoin And Your Right To Redeem

8.1. Your BTcoin will cease to be valid ten (10) years from the date upon which
it was issued. We refer to this date as Your BTcoin’s expiry date. On the expiry
date Your BTcoin will be extinguished, and You will no longer be entitled to use
it. Any balance remaining on your BTcoin at the expiry date will be reissued as
new BTcoins with the same value at the then current rights and conditions
applicable to BTcoins on that date.

8.2. If You are uncertain as to the expiry date of Your BTcoin, please contact
Customer Services in accordance with section 12 below or check your mobile and
web applications.

9.Cancelation Period And Refund Procedure For Purchase Of BTcoin

9.1. The original purchaser of the BTcoin is entitled to a fourteen-day cooling
off period when purchasing BTcoins. If You are the original purchaser and You
wish to cancel the BTcoin in question you will need to seek the refund via the
mobile and web applications before 23.59 on the fourteenth day of the first
purchase.

Any funds returned to the original purchaser under this section 9.1 will be
refunded to the same account from which you purchased the BTcoins. You will
therefore be liable to any difference in currency exchange between the purchase
price and the refund amount. If You exercise Your right to a refund under
section 8.1 above, We will interpret this as Your withdrawal from this agreement
and where possible We will retain the BTcoin.

10.Keeping Your BTcoin And Details Safe

10.1. You are responsible for keeping Your BTcoin and the associated details
safe. You must take all reasonable steps to avoid the loss, theft or misuse of
the BTcoin, your mobile and web applications and the associated log in details.
Do not disclose details associated with the BTcoin or your mobile and web
applications to anyone except where it is absolutely necessary. For example,
when carrying out a transaction or when passing the BTcoin to another individual
as a gift or gesture.

11.Lost, Stolen, Damaged Or Hacked BTcoin, Mobile And Web Applicaitons Or Online
Account

11.1. If Your BTcoin mobile and web applications are lost, stolen, damaged or
hacked We encourage You to contact Customer Services in accordance with section
13 below at the earliest reasonable opportunity. We may ask that You provide a
variety of details to confirm that You are the authorised holder of the
BTcoin(s). Following completion of this verification process, (if required), We
will block Your BTcoin(s) mobile and web applications and/or online account.

11.2. The blocking of Your BTcoin mobile and web applications will ensure that
it can no longer be used. When you advise us that you have a new phone, have
downloaded the app and following satisfactory completion of the verification
process regarding section 11.1 above, we will unlock the account subject to
section 11.3 below.

11.3. You will be held liable for the value of all transactions if We believe,
or have reason to suspect that:

11.3.1. You have acted fraudulently;

11.3.2. You intentionally, recklessly or negligently failed to keep Your BTcoin
mobile and web applications or details of its security features safe;

11.3.3. An undue or unreasonable period of delay elapsed in between Your BTcoin
mobile and web applications being lost or stolen and Your notifying Customer
Services of the loss or theft; or

11.3.4 you have or are deemed to have breached any of these Terms and
Conditions.

11.4. We will not limit your liability for lost, stolen, damaged or hacked
BTcoin mobile and web applications if you are deemed to have notified Customer
Services of the loss or theft at the earliest reasonable opportunity.

12.

Customer Services

12.1. All enquiries in connection with BTcoin(s) should be made to Customer
Services by: Contacting us via the help button on your mobile and web
applications.

12.2. The help button provides details of Frequently Asked Questions. If You
have additional queries, you will be referred to Customer Services which will
provide services during normal business hours in each BalaTAM jurisdiction.

12.3. If You wish to make a complaint in relation to Your BTcoin You should, in
the first instance, contact Us using the details provided above. You will be
asked to explain the reason for Your dissatisfaction. We will log Your complaint
and investigate it in accordance with Our Complaints Handling Procedure. Once We
have investigated Your complaint, We will issue You with a final response in
writing.

13.Limitation Of Liability

13.1. None of the organisations described in sections 1.2 and 1.3, or their
respective directors, officers, contractor or employees, will be liable for any:

13.1.1. Losses which were not foreseeable at the time of the purchase of the
BTcoin;

13.1.2. Losses which were not caused by any breach on their part, (each acting
severally);

13.1.3. Business losses;

13.1.4. Losses to non – consumers;

13.1.5 Losses, consequential loss or damage to any individual or business which
may have occurred from the use (or misuse) of any product or any information
contained on mobile and web applications.

13.1.6 Losses arising as a result of breach of any of these Terms and
Conditions.

13.2. In any event the liability of the organisations described in Sections
13.1.1 and 13.1.2 will be limited to the value of the BTcoin held in your mobile
and web applications.

13.3. The United Kingdom’s Financial Services Compensation Scheme (“FSCS”) and
other deposit protection schemes do not apply to Your BTcoin. This means that in
the event the relevant BTcoin issuer becomes insolvent Your BTcoin may cease to
function and may become valueless. You will not be able to reclaim this money
from the FSCS or any other deposit protection scheme.

14.Changes To These Terms And Conditions

14.1. These terms and conditions may be changed or amended at any time for
legal, regulatory or security reasons or to enable the proper delivery of the
BTcoin scheme. If any changes are made, they will be publicised two months
before the changes take effect (unless law requires Us to make a more immediate
change) and copies of the revised terms and conditions will be made available on
your mobile and web applications.

14.2. Due to the nature of BTcoin programmes, it is often difficult or
impossible for Us to contact each individual cardholder in the event of a change
to these terms and conditions. It is therefore the responsibility of both the
BTcoin purchaser and the recipient to check your mobile and web applications
regularly for changes to terms and conditions. We will assume that You have done
so and will be entitled to assume You have accepted any changes to these terms
and conditions unless You notify Us otherwise.14.2. Due to the nature of
UrbanJerseyCoin programmes, it is often difficult or impossible for Us to
contact each individual cardholder in the event of a change to these terms and
conditions. It is therefore the responsibility of both the UrbanJerseyCoin
purchaser and the recipient to check your digital wallet regularly for changes
to terms and conditions. We will assume that You have done so and will be
entitled to assume You have accepted any changes to these terms and conditions
unless You notify Us otherwise.

15.Law And Courts

The laws of England and Wales apply to these terms and conditions.

Appendix A – Current applicable rewards for BTcoinholders

A.1 1Introduce a Friend Bonus – you will receive FIVE additional BTcoin for
every friend you introduce who signs up and purchases ten or more BTcoin. A.2
Bonus Scheme - BTcoinholders will be rewarded with a bonus scheme for holding
TWO HUNDRED BTcoins over a 12-month period – The bonus will be distributed in
the form of TEN BTcoin. A.3 Lost Livelihood Pledge - By pledging SGD 30,000, you
will receive naming rights to a plot of land which will be used to provide
training and space to farm for a family. This access will enable them to not
only become self-sufficient, but to then use their knowledge and skills to help
other families in the same way, breaking the cycle of poverty through a positive
domino effect. The farms will be in Johor, Malaka and other parts of Malaysia
and your pledge will be returned to you within 24 months. You will then have SDG
30,000 in BTcoins to purchase products from all BalaTAM farms within the app.
