THIS REFERRAL PARTNER AGREEMENT (hereinafter “Agreement”) is made and entered
into on December 08, 2022 by and between Bottom Line Concepts, LLC (“Bottom
Line”), a Florida limited liability company, and GoDaddy - RP (“Referral
Partner”) (collectively the “Parties”).
WHEREAS, Bottom Line is a cost savings consulting company that seeks to lower
its clients costs by reducing category specific expenditures and identify
unclaimed assets, refunds, prebates, rebates, credits and/or other forms of
monetary savings, and;
WHEREAS, Bottom Line has focused on assisting its clients in obtaining Employee
Retention Credits pursuant to the Coronavirus Aid Relief and Economic Stimulus
Act (CARES Act), and;
WHEREAS, Bottom Line’s clients pay Bottom Line a contingency consulting fee upon
receiving the refunds/credits, and;
WHEREAS, Referral Partner desires to refer potential clients to Bottom Line,
and;
WHEREAS, Bottom Line intends to pay Referral Partner a percentage of its
consulting fee for clients that Referral Partner refers, and;
NOW, THEREFORE, in consideration of the covenants and agreements set forth
herein, and other good and valuable consideration, the Parties agree as follows:
A. DEFINITIONS
1. “Consulting Agreement” is Bottom Line’s form agreement, as amended, with its
clients for procurement of its cost saving consulting services.
2. “Consulting Fees” means any amount Bottom Line receives from its clients
pursuant to a Consulting Agreement.
3. “ERC” means Employee Retention Credits as defined in the CARES Act.
4. “Potential Client” shall be a business entity referred by Referral Partner
to Bottom Line but where a formal client relationship with Bottom Line has
not been established.
5. “Referred Client” shall be a business entity referred by Referral Partner
that has executed a Consulting Agreement with Bottom Line.
6. “Sub-RP” shall be any of Bottom Line’s referral partners that were
introduced to Bottom Line by Referral Partner.
B. REFERRALS
Referral Partner shall identify Potential Clients who may benefit from Bottom
Line’s ERC consulting services and refer Potential Clients to Bottom Line using
the process in Section C. Bottom Line maintains the sole discretion in accepting
or rejecting any referral of a Potential Client.
C. FORM AND PROCEDURE OF REFERRALS
1. Referral Partner shall submit each referral through Bottom Line’s online
portal, or as otherwise directed by Bottom Line.
2. Within fifteen (15) days of receiving a referral, Bottom Line shall notify
Referral Partner in writing if Bottom Line has a preexisting relationship
with the Potential Client.
3. If Bottom Line does not have a preexisting relationship with the Potential
Client, Referral Partner shall facilitate an introduction between Potential
Client and Bottom Line.
4. Upon the Potential Client executing Bottom Line’s Consulting Agreement
within six (6) months of the introduction, Referral Partner shall be
entitled to any Referral Fees due and payable under Section D.
D. REFERRAL FEES TO REFERRAL PARTNER
Referral Partner shall be entitled to a Referral Fee as follows:
1. 10% of the Gross Consulting Fees actually received by Bottom Line from a
Referral Client.
2. 5% of the Gross Consulting Fees actually received by Bottom Line from a
client referred from a Sub-RP.
3. All Referral Fees shall be paid by Bottom Line to Referral Partner by the
fifteenth (15th) day of the month following the month that Bottom Line
received the Consulting Fee from a Referral Client. For example, if the
Referred Client pays Bottom Line on January 5, 2023, Bottom Line shall pay
Referral Partner any Referral Fees on or before February 15, 2023.
E. TERM
This Agreement shall remain in full force and effect until the earliest of (i)
termination by either party with thirty (30) days written notice by email to the
email addressed used by each Party during the course of conduct of the Agreement
or (ii) immediate termination by Bottom Line for cause. “Cause” shall mean any
breach by Referral Partner of its obligations under this Agreement. In the event
of termination of this Agreement other than for cause, Referral Partner shall
continue to receive Referral Fees under this Agreement as though this Agreement
had not been terminated. In the event of termination of this Agreement for
cause, Referral Partner shall only be entitled to Referral Fees under this
Agreement that are due prior to the date of termination.
F. NON-COMPETITION AND NON-SOLICITATION
In the course of performing this Agreement, Referral Partner will learn some of
Bottom Line’s valuable trade secrets and other proprietary information. As such,
Referral Partner represents and agrees and during the term of this Agreement and
for a period of one (1) year following any termination of this Agreement (except
a termination by Bottom Line without cause), Referral Partner shall not,
directly or indirectly, an any capacity:
1. Carry on, participate in, consult with, be engaged in, or have any financial
interest in any business competitive with Bottom Line;
2. Solicit or engage any Bottom Line client that was not referred by Referral
Partner for any service that Bottom Line offers;
3. Refer any business entity to any other third party consulting service for
services related to ERC.
These limitations shall not prohibit Referral Partner from offering any product
or service to any third party or client that Bottom Line does not offer as part
of its business.
G. INJUNCTIVE RELIEF
Referral Partner recognizes that irreparable harm will result to Bottom Line in
the event that Referral Partner breaches any covenant contained in this
Agreement and agrees that in the event that such a violation occurs, Bottom Line
shall be entitled, in addition to its other legal or equitable remedies and
damages, to temporary and permanent injunctive relief in such violation(s) by
Referral Partner, without requirement of any bond.
H. INDEPENDENT CONTRACTOR
1. Referral Partner acknowledges that it is an independent contractor of Bottom
Line. Referral Partner is not an employee, servant, or partner of Bottom
Line, nor is Referral Partner engaged in a joint venture with Bottom Line.
Referral Partner is not affiliated with Bottom Line other than as an
independent contractor.
2. Bottom Line will not withhold or pay any federal, state, or local income or
FICA (social security) taxes from the Referral Fee, will not pay any FICA or
federal and state unemployment insurance on Referral Partners behalf, will
not provide workers’ compensation insurance Referral Partner, and will not
cover Referral Partner under any retirement or other employee benefit plan
or program.
3. This Agreement is not exclusive and does not require Referral Partner’s full
time or efforts. Bottom Line shall not be responsible for any expenses
incurred by Referral Partner in the course of providing services under this
Agreement.
I. MISCELLANEOUS
1. Bottom Line shall have no further obligation to Referral Partner with
respect to a Potential Client if Bottom Line subsequently enters into a
Consulting Agreement after the expiration of the time period ending six (6)
months after the date of the First Meeting.
2. Bottom Line shall maintain the exclusive right to negotiate, re-negotiate,
or modify its Consulting Agreement with any Referred Client, including, but
not limited to, the right to increase or decrease the fees paid by Referred
Client to Bottom Line.
3. This Agreement shall be governed by and construed in the accordance with the
laws of the United States and the State of Maryland regardless of the
substantive law that might otherwise govern under applicable choice-of-law
principles.
4. The Parties agree to submit to the exclusive jurisdiction of any claim or
dispute to be determined in the federal and state courts located in
Montgomery County, Maryland for any claim or dispute arising out of or
relating to this Agreement and waive all objections to the selection of such
venue.
5. In the event that any party institutes any legal suit, action or proceeding,
against the other party arising out of or relating to this Agreement, the
prevailing part in such suit, action or proceeding shall be entitled to
receive, in addition to all other damages to which it may be entitled, the
costs incurred by the prevailing party in connection with the suit, action
or proceeding, including reasonable attorneys’ fees and expenses.
6. This Agreement constitutes the entire agreement between the Parties with
respect to the subject matter herein and supersedes all prior agreements or
understandings.
7. This Agreement shall not be amended or modifies unless agreed to in writing
by both Parties.
8. This Agreement may be executed and delivered electronically and in
counterparts as though signed in full.
IN WITNESS ABOVE, the Parties hereto have entered into this Agreement on the
date set forth above.
